Magnachip Semiconductor (NYSE: MX) has appointed Chae Lee as its new chief executive officer, signaling a strategic leadership shift as the company seeks to reinforce its competitive edge in the semiconductor industry. The appointment becomes effective July 1, 2026, following the departure of interim CEO Camillo Martino, who will continue serving as board chairman.

Leadership Transition Details

The Magnachip Semiconductor board approved Lee’s appointment on June 26, 2026, increasing its size from four to five directors to facilitate the transition. Lee will assume the dual role of CEO and director until the company’s 2027 annual shareholder meeting. His selection follows a distinguished career marked by over two decades of executive experience in semiconductor innovation and operational leadership.

Executive Compensation Structure

Lee’s compensation arrangement includes, among other things, an annual base salary of $560,000. He will also be eligible for a target annual cash bonus equal to 100% of his salary, with the opportunity to earn up to 200% of that amount based on performance metrics. The agreement further outlines severance provisions, including a payment equal to 1.5 times his base salary in the event of termination without cause during a change-in-control situation.

Equity Incentive Package

As part of the leadership transition, Lee will receive an equity award covering 875,000 shares under the company’s 2020 Equity and Incentive Compensation Plan. The grant consists of 288,750 time-based restricted stock units and 437,500 performance stock units. Additionally, he will be granted 148,750 stock options, which carry an exercise price equal to the greater of $5.50 per share or the stock’s closing price on the date of issuance.

Vesting and Performance Criteria

The equity components will vest according to a schedule determined by the board, with initial restrictions applying during the first year of service. Performance stock units will be subject to specific criteria established by the board within six months of Lee’s appointment. Depending on the achievement of predefined milestones, the vesting timeline for these units may be adjusted to reflect accelerated performance outcomes.

Career Background

Lee’s professional background includes significant leadership roles across the semiconductor sector. Most recently, he served as CEO of Tagore Technology, a company focused on advanced GaN-based RF solutions, from 2023 to 2024. Prior to that, he led Insyte Systems as CEO between 2020 and 2022, overseeing strategic growth initiatives.

His earlier career includes senior executive positions at NXP Semiconductors and Maxim Integrated Products, where he contributed to product development and market expansion efforts.

Board and Governance Changes

The decision to expand the board reflects a broader governance realignment as Magnachip Semiconductor prepares for its next phase of growth. Martino’s transition from interim CEO to chairman ensures continuity in strategic oversight, while Lee assumes responsibility for day-to-day operations. The company has not announced any additional board appointments beyond Lee’s inclusion as a director.

Market and Strategic Outlook

The leadership change occurs at a pivotal moment for the semiconductor industry, which is navigating shifting demand patterns for power management and interface technologies. Lee’s expertise in high-power semiconductor applications positions Magnachip to address emerging opportunities in automotive, industrial, and consumer electronics markets. The company’s focus on innovation and operational efficiency is expected to play a key role in its long-term strategy under the new leadership.
