Talen Energy Corp (NASDAQ:TLN) announced three separate actions in a single 8-K filed on September 29, 2026: a chief executive succession effective January 1, 2027, a $1.5 billion increase in its share repurchase authorization with a matching accelerated repurchase, and a transaction that transfers rights to about $1.5 billion of future PJM capacity revenues. The filing reports Items 5.02, 7.01, 8.01 and 9.01, with a press release attached and furnished under Regulation FD.

Leadership Change

Talen said Terry L. Nutt, age 50, will become Chief Executive Officer effective January 1, 2027. Mr. Nutt has served as President since December 2025 and was Chief Financial Officer from July 2023 to December 2025. The filing says he has more than 25 years of energy industry experience, including as CFO of EDF Trading North America from 2018 to 2023. He will join the board when he becomes CEO.

Mark "Mac" A. McFarland will step down as CEO on the same date and leave the board. The filing states that "Mr. McFarland's retirement is not the result of any disagreement with the Company" on operations, policies or practices. Under a transition and retirement agreement, Mr. McFarland becomes a Senior Advisor reporting to the board chairman, with a separation date of March 1, 2027. He receives $100,000 for advisory services and continued current benefits without new equity grants, and, on signing a general release, COBRA continuation up to 36 months and a 2026 annual bonus based on actual performance.

Mr. Nutt's amended employment agreement sets a base salary of $1,200,000, a target annual bonus of 135 percent of base salary and a target long-term incentive grant value of 700 percent of base salary. The initial term runs from January 1, 2027 through February 28, 2028, with automatic annual renewals unless either side gives 90 days' notice. Severance for a qualifying termination outside a change of control is two times the sum of base salary and target bonus over 24 months, and within 18 months after a change of control it is a lump sum of 2.99 times that sum.

Buyback Increase and Accelerated Repurchase

The board approved on September 23, 2026 a $1.5 billion increase to the repurchase authorization, bringing the total to $3.0 billion. The filing says the repurchases will be funded by proceeds of the capacity transaction, cash on hand and cash generated by operations. Accelerated share repurchase agreements with unnamed dealers took effect September 29, 2026 for a total of $1.5 billion. Talen expects to receive about 4.0 million shares initially, described as approximately 80 percent of the total shares it expects to repurchase. The final number depends on the average of daily volume-weighted average prices during the term, less an agreed discount, and settlement is expected no later than the first quarter of 2027.

PJM Capacity Monetization

Effective September 25, 2026, indirect subsidiary Talen Energy Marketing, LLC transferred to an unaffiliated third party "rights of future cash flows for certain cleared capacity with volumes of approximately 6.5 GW and 6.0 GW for the 2027/2028 and 2028/2029 delivery years, respectively, and aggregate revenues of approximately $1.5 billion." In exchange, Talen receives advance proceeds equal to those capacity revenues, reduced by a charge based on SOFR plus 200 basis points, with SOFR measured on October 1, 2026. Talen still operates its generation facilities, remains obligated to perform as a PJM capacity resource, and keeps capacity performance bonus rights and the risk of performance deficiency penalties.

Nutt Takes Over Talen on January 1

The key dates are January 1, 2027, when Mr. Nutt becomes CEO, and March 1, 2027, when Mr. McFarland's separation takes effect. The filing does not name the ASR dealers or the capacity counterparty, and it does not state the total advance proceeds, which depend on the SOFR measurement. The accelerated repurchase is expected to settle no later than the first quarter of 2027, at which point the final share count will be known.
