Accelerant to Return to Private Ownership in $4 Billion Deal

Accelerant (NYSE:ARX), the specialty insurance risk exchange platform, has entered into a definitive agreement to be acquired by Private Equity firm Thoma Bravo in an all-cash transaction valuing the company at more than $4 billion. Under the terms of the deal, Accelerant's Class A and Class B shareholders will receive $20.25 per share in cash, a 49% premium to the company's closing share price on August 12.

The Acquisition price sits below Accelerant's $21 IPO price from just over a year ago, though it represents a substantial recovery from where the stock had been trading. Accelerant's shares had fallen roughly 52% from their debut, dropping as low as $13.59 before the acquisition offer was announced.

Deal Follows Strong Second-Quarter Results

The announcement came alongside Accelerant's second-quarter 2026 results, which the company released without hosting its previously scheduled Earnings Call given the pending transaction. For the quarter, Accelerant reported total Revenue of $356.9 million and Net Income of $80 million, while Exchange Written Premium climbed 23% year-over-year to $1.32 billion.

Accelerant's chairman and CEO said the company has been building its specialty insurance marketplace since its 2018 founding, and that returning to private ownership with Thoma Bravo's technology expertise and financial resources would support continued platform investment. A senior partner at Thoma Bravo said the firm was drawn to Accelerant's position in a growing MGA market and its ability to connect underwriters with risk Capital using shared data.

Transaction Structure and Next Steps

The deal is not subject to a financing condition, as Thoma Bravo has provided an equity commitment to fund the purchase. Entities affiliated with Altamont Capital Partners, Accelerant's largest investor, holding approximately 82% of outstanding voting rights, have agreed to vote in favor. Altamont and Accelerant's founders intend to retain equity ownership alongside Thoma Bravo going forward.

The transaction is expected to close in the first half of 2027, subject to shareholder approval and regulatory clearances, including insurance approvals given the nature of Accelerant's business. If closing is delayed due to pending insurance approvals, shareholders will receive a ticking fee accruing at 6% annually for a specified period. Once completed, Accelerant will become a private company and its shares will no longer trade on the NYSE.
