Coursera (NYSE:COUR): Udemy all-stock merger
Coursera (NYSE:COUR) had no company-specific news on October 13, 2026, and the 1.11% decline came on volume well above average, which can reflect position changes around a recently merged business. The shares closed at USD 4.92, below the average USD 5.45 the company paid for stock in the second quarter. The defining corporate event remains the combination with Udemy, completed on May 11, 2026 as an all-stock transaction, which roughly doubled enterprise revenue and expanded the share count. Management expects at least USD 85 million of annual run-rate net synergies by the end of 2026. Because the merger also changed the share count, per-share comparisons with earlier periods need care. Coursera (NYSE:COUR) reported second-quarter results on July 29, 2026. Enterprise revenue grew 118% to USD 140.0 million and consumer revenue rose 29% to USD 158.6 million, with paid subscribers up 44% to 1.655 million, although enterprise customers fell 2% to 12,107. Free cash flow was negative USD 32.6 million against positive USD 28.6 million a year earlier, reflecting integration costs. For the third quarter the company guided to revenue of USD 364 million to USD 372 million and adjusted EBITDA of USD 52 million to USD 56 million.
Olin (NYSE:OLN): Huntsman merger of equals
No company announcement dated October 13, 2026 explains the heavier trading. The key development is the pending combination with Huntsman, to be named OlinHuntsman Corporation and based in The Woodlands, Texas. Shareholders of both companies approved the deal on August 25, 2026, with about 97% of votes cast at Olin in favor, and the Hart-Scott-Rodino waiting period expired, announced September 11, 2026. Additional regulatory approvals remain. Olin (NYSE:OLN) chief executive Ken Lane would lead the combined company, and Peter Huntsman would be non-executive chairman. Combined 2025 revenue was about USD 12.5 billion, and a further USD 100 million of raw material benefits would start in 2031. Olin reported second-quarter adjusted EBITDA of USD 191.3 million on sales of USD 1,741.9 million, against USD 176.1 million on USD 1,758.3 million. Epoxy earned USD 16.0 million against a loss of USD 23.7 million, and Winchester earned USD 28.1 million against USD 25.0 million. Chlor Alkali Products and Vinyls earned USD 53.4 million, after a plant problem at Freeport, Texas cut earnings by USD 40.1 million. Total debt was USD 3,029.1 million and net debt to adjusted EBITDA reached 5.0x, up from 4.1x.
Genius Sports (NYSE:GENI): Legend acquisition
No company announcement dated October 13, 2026 was found, so the 0.99% decline looks like routine trading. The most recent catalyst was the August 6 second-quarter report. Revenue of USD 195.5 million included USD 117.4 million from betting technology, content and services and USD 78.2 million from media technology, content and services. Adjusted EBITDA excludes acquisition costs, interest and remeasurement charges, which is why it rose while the net loss grew. Management raised the midpoint of full-year adjusted EBITDA guidance by USD 15 million, lifting the implied margin to about 28.6% from about 27.5%. Third-quarter guidance of about USD 260 million of revenue would be well above the second quarter because Legend contributes for a full three months. Genius Sports ended June with USD 155.1 million of cash, down from USD 280.6 million at December 31, 2025, and about USD 785 million of debt after issuing USD 825.0 million of long-term debt in the first half. Net cash used in operating activities was USD 147.2 million for six months, partly reflecting acquisition-related costs. Management guided to year-end cash of about USD 260 million, which implies more than USD 100 million of cash generation in the second half. Common shares outstanding rose to 267.6 million from 246.3 million at year end, and earn-out share issuance remains a source of dilution.
Vistance Networks (NASDAQ:VISN): RUCKUS sale and cash returns
No company announcement dated October 13, 2026 was found, so the 1.39% decline looks like routine trading. The larger story is capital return. After selling RUCKUS, the company paid out cash, repaid debt and redeemed its Series A preferred equity, and said a USD 5.00 per share special distribution was planned by the end of August. A distribution transfers corporate cash to holders, so the share price adjusts lower on the ex-distribution date even though total value is unchanged. The published 52-week range of USD 5.90 to USD 20.55 therefore mixes shares that included cash with shares that no longer do. Mechanically, holders who bought before the payout received cash, while later buyers own a company with less cash, which complicates simple comparisons with earlier prices. Vistance Networks reported income from continuing operations of USD 26.1 million, or USD 0.06 per diluted share, while net income of USD 295.2 million, or USD 1.21 per share, included USD 269.1 million from discontinued operations. Adjusted EBITDA was USD 35.8 million, down 32.1%. Management cited memory chip pricing and availability when lowering 2026 Aurora adjusted EBITDA guidance to USD 200 million to USD 225 million. Operating cash flow was negative USD 72.7 million in the quarter, and free cash flow was negative USD 74.7 million, a pace that the company has not tied to a single cause in the release.
Where Things Stand
The answer is that the four companies have each used a major transaction in 2026, and none had an October 13, 2026 announcement. Coursera (NYSE:COUR) bought growth through Udemy. Genius Sports (NYSE:GENI) did the same with Legend. Olin (NYSE:OLN) is merging, with closing expected in the first half of 2027. Vistance Networks (NASDAQ:VISN) sold a business and returned cash. Integration, regulatory approvals and costs are the main risks, and third-quarter reports are the next catalysts. This is not investment advice.
