Where the segments diverged
The segment table shows an uneven picture. Texture & Healthful Solutions reported net sales of $627 million, up 5 per cent, with operating income of $117 million, also up 5 per cent. Food & Industrial Ingredients in Latin America generated $611 million of sales and $118 million of operating income, a 7 per cent decline. The weakest line was Food & Industrial Ingredients in the United States and Canada, where sales fell 7 per cent to $488 million and operating income dropped 33 per cent to $58 million. The company said production at its Argo plant had returned to normal rates by quarter end after a thermal event, which cost $19 million before tax in the quarter.
Tate & Lyle and the balance sheet
The most significant business development is the proposed acquisition of Tate & Lyle PLC. According to the 10-Q, the all-cash offer of 595 pence per share was agreed on 8 June 2026 and values the target at about £2.7 billion, or roughly $3.5 billion at the 30 June exchange rate. Tate & Lyle shareholders approved it on 28 July 2026, and Ingredion expects completion in the second half of 2027, subject to regulatory and UK court approvals. Financing is arranged. The filing describes a bridge facility reduced to $2,750 million and a delayed-draw term loan with $1,475 million of initial availability, undrawn at 30 June. Quarterly net financing costs rose to $55 million from $12 million, mainly because of a $47 million mark-to-market loss on currency hedges linked to the deal. Total debt was $1.8 billion and cash was $948 million at the quarter end.
Financing Costs Are Already Showing Up in Results
Ingredion's weakest segment, Food & Industrial Ingredients in the United States and Canada, absorbed a $19 million pre-tax hit from an Argo plant thermal event that has since returned to normal rates, while the much larger story is the pending Tate & Lyle acquisition, expected to complete in the second half of 2027. A $47 million mark-to-market loss on currency hedges linked to the deal already pushed quarterly net financing costs up more than fourfold, a preview of the financing and integration costs still to come before the UK court and regulatory approvals clear.
