When a business services provider agrees to sell whole divisions, the shape of the company can change as much as its balance sheet. Conduent Incorporated (NASDAQ:CNDT) has signed agreements to sell its Public Transit and Tolling businesses, a move management says marks its exit from the Transportation business. The combined proceeds exceed an earlier commitment, and most are earmarked for debt reduction. Investors may be asking whether a smaller, more focused Conduent can translate portfolio changes into steadier earnings.
Latest Company Context
Conduent reported second-quarter 2026 results for the period ended June 30. Revenue from continuing operations was $531 million, down 11.9% from $603 million a year earlier. Adjusted EBITDA was $16 million, compared with $23 million, with the margin slipping to 3.0% from 3.8%, mainly because of lower profitability in the Government segment. The company recorded a GAAP net loss of $116 million, including $47 million of losses from discontinued operations, and an adjusted diluted loss of $0.18 per share.
Operating cash flow improved to $7 million from negative $15 million. New business annual contract value was $99 million. Management's full-year outlook calls for revenue of $2.15 billion to $2.25 billion and adjusted EBITDA of $140 million to $170 million from continuing operations.
Key Business and Index Drivers
The divestitures are the central acquisition-and-disposal story. Public Transit is being sold to Modaxo for $164 million, and Tolling is being sold to Quarterhill for $70 million plus a 7% equity stake in Quarterhill. Together, the signed sales are expected to produce about $234 million of gross proceeds, above the at least $200 million that management had previously committed to from portfolio actions.
Management intends to use most of the proceeds to reduce debt. Long-term debt was $697 million at June 30, up from $665 million at year-end 2025, while cash was $228 million and total equity fell to $526 million from $685 million. A separate cost transformation targets roughly $100 million of annualized savings, and management says second-quarter results do not yet reflect the full effect of those actions.
What Investors Should Watch
Closing timelines for both sales may be the first checkpoint, since proceeds only reduce debt once the transactions complete. Investors may also watch how much of the roughly $234 million is applied to borrowings and what that could mean for interest costs.
Margin progress is another area. Adjusted EBITDA of $16 million in the quarter sits well below the pace implied by the full-year range, so the cadence of cost savings in the second half may be informative. Government segment profitability, which drove the margin decline, could be a particular focus.
Finally, new business signings and revenue trends in the continuing operations may indicate whether the company can stabilize the top line after an 11.9% decline. The value and liquidity of the Quarterhill equity stake may also draw attention, as may any further portfolio actions management discusses. Because discontinued operations produced a $47 million loss in the quarter, investors may also look for signs that those drags are fading once both transactions close and the continuing business is reported on its own.
Shrinking to Sharpen the Business
Conduent is reshaping itself through disposals rather than acquisitions, trading two businesses for cash, a minority equity stake and a chance to reduce debt. The outcome could depend on deal completion, the realization of cost savings and stabilization in the Government segment. Results to date show pressure on revenue and profitability, and the full-year outlook remains management guidance, not a certainty.
