News Corporation (NASDAQ:NWSA), whose Class A and Class B common stock trade on the Nasdaq Global Select Market and are also listed in Australia, filed a Form 8-K on September 29, 2026 that shows how much of its share repurchase program has been used. The report itself is brief. It reproduces two Appendix 3C notices that the company files with the Australian Securities Exchange, and those notices indicate that about US$501.6 million of the US$1 billion authorization has been spent, leaving roughly US$498.4 million.
Why an 8-K Carries Australian Forms
The filing is made under Item 8.01, Other Events, and Item 9.01. It explains that the company is authorized to acquire from time to time up to $1 billion in the aggregate of its outstanding Class A and Class B common stock. Because News Corporation is also listed on the ASX, it must give that exchange daily disclosure of buy-back transactions under ASX rules, and the 8-K says the same information is also included in the company's quarterly and annual reports. The two Appendix 3C forms are attached as Exhibits 99.1 for Class A and 99.2 for Class B. The report was signed on September 29, 2026 by Michael L. Bunder, Senior Vice President, Deputy General Counsel and Corporate Secretary.
What the Notices Show
Both notices describe an "other buy-back" program of up to US$1 billion for Class A and Class B stock, which the notices say was authorized on July 15, 2025. On September 28, 2026, the company bought 62,323 shares of Class A common stock for a total of US$1,783,385.11 and 27,128 shares of Class B common stock for US$863,120.72. Together that is 89,451 shares and about US$2.65 million for the day.
The cumulative figures come from the same notices. Before September 28, the company had bought 12,484,357 Class A shares for US$326,985,205.98 and about 5,801,451 Class B shares for US$171,946,263.39. Adding the day's purchases gives roughly US$328.8 million spent on Class A shares and US$172.8 million on Class B shares, for a total of approximately US$501,577,975. Subtracting that from the US$1 billion authorization leaves approximately US$498,422,025, which is the remaining-capacity figure cited in the notices. The Class A notice lists Goldman Sachs & Co. LLC as the broker.
The notices also give the number of securities on issue, which is the base against which the repurchases can be measured: 359,143,232 Class A shares and 141,017,361 Class B shares. The 8-K does not calculate what percentage of either class has been repurchased.
What the Filing Does Not Say
The 8-K does not say how quickly the company expects to complete the program, whether purchases are planned to continue at the recent pace, or whether the board intends to change the authorization. It does not discuss the company's reasons for buying stock, its cash position or its financial results. The information is a factual record of transactions as of one trading day, drawn from forms that the company prepares for its Australian listing, and the total remaining is simply the difference between the authorization and the amount reported as spent.
The filing also does not say how the shares purchased are treated afterward, such as whether they are held in treasury or retired.
News Corporation's Remaining Buyback Balance Through September 28
Because Appendix 3C notices are filed with the ASX as purchases occur, the company's Form 8-K may not be the last place these figures appear. The figures in this filing are through September 28, 2026 only.
