Dror Ortho-Design, Inc. (AMEX: DROR) is asking holders of 976,997,116 common shares entitled to vote at its 2026 special meeting to approve a reverse stock split proposal. Stockholders will also consider whether to authorize an adjournment if more proxy votes are needed for the reverse split measure.
Voting Base and Charter Authorization
The virtual special meeting will take place on September 23, 2026, and proxy materials began going to eligible stockholders on September 9, 2026. Series A Convertible Preferred Stockholders held 5,847,937 shares entitled to an aggregate 584,793,700 votes, subject to specified beneficial ownership limits. Dror Ortho-Design’s charter authorizes 3,266,975,740 shares of capital stock. That total consists of 3,254,475,740 authorized common shares and 12,500,000 authorized preferred shares, each with a Par Value of $0.0001 per share.
Board Retains Decision on Implementation
The Board unanimously recommends that stockholders vote for both the reverse stock split proposal and the adjournment proposal. Approval would give the Board sole authority to decide whether and when to amend the charter to carry out the reverse stock split. The Board says its later decision would consider the common stock’s per-share price immediately before any split and the expected stability of that price afterward. The proposal is not intended to constitute a going-private transaction or materially modify the rights of existing stockholders.
