XTI Aerospace (NASDAQ: XTIA) is out of compliance with Nasdaq Listing Rule 5250 after failing to submit its quarterly financial report for the period ended June 30, 2026. The Nasdaq Capital Market listing remains unaffected immediately, but the company must address the reporting breach under the process set out in the notice.

Nasdaq Gives XTI Aerospace Time to Respond

Nasdaq sent the notice on August 26, 2026, citing the requirement for listed companies to submit required periodic financial reports to the Securities and Exchange Commission on time. The company said it is working to complete the review and plans to submit the quarterly report as soon as practicable afterward. XTI Aerospace has not estimated when the review or report will be completed. If the report is still outstanding when Nasdaq’s response period ends, the company intends to submit a plan to restore compliance. Nasdaq may grant an exception through February 22, 2027, if it accepts that plan. Any later periodic report due during the exception period, including the report for the quarter ending September 30, 2026, would also have to be submitted by the end of that period. XTI Aerospace said it may appeal a rejected plan to a Nasdaq Hearings Panel under Nasdaq Listing Rule 5815. The company also said there is no assurance it will submit the report within the applicable period, regain compliance or maintain its Nasdaq listing.
