Host Digital Inc. (NYSE American:HOST) furnished a letter to shareholders from its chief executive officer on September 29, 2026, giving a business update after the merger and public listing that the company completed earlier in September. The letter is Exhibit 99.1 to a Form 8-K, and it is signed by CEO Harmol Samra. The company trades on NYSE American under the symbol HOST and describes itself as "a vertically integrated digital infrastructure company" focused on developing and operating data centers for artificial intelligence and high-performance computing.

According to the letter, Host completed a merger that brought a data center business into what was previously Healthy Choice Wellness Corp., a public company operating 19 natural and organic grocery stores. The merger made Host a newly public company. The letter is a management communication, and the risk disclosures it points to are in the company's Form 8-K filed September 17, 2026.

The Business Model

Mr. Samra writes that Host develops, owns and operates what it calls "RightScaled data centers" of 20 to 100 megawatts, focused on existing infrastructure with available power. He says Host "provides the buildings, power, cooling, and supporting infrastructure under long-term take-or-pay leases" and does not purchase customers' computing equipment, and that the strategy requires "a more manageable amount of capital" than mega-campus development. He describes the gap the company aims to fill this way: "one of the scarcest resources in computing is a place to plug in the chips, with power already flowing."

Site I

The letter's main milestone is Host's flagship project in northeast Oklahoma, called Site I. It reports a 15-year lease with approximately $1.25 billion of contracted base-term rent, first-year rent of approximately $67 million, and customer capacity of 55 megawatts of gross power and 43 megawatts of critical IT capacity. Host's cash investment to date is approximately $40 million, and the letter says a recent public offering raised $17.5 million before fees.

Target delivery is the first quarter of 2027. Renewal options could extend total rent to approximately $3.2 billion over 30 years. Customers pay rent plus operating expenses including electricity, which the letter describes as a waterfall in which cash remaining after management costs and loan principal and interest supports Host's operations.

Sponsor and Governance

Host's sponsor, Host Infrastructure Holdings, is controlled by company founders including Mr. Samra and, according to the letter, has four additional sites with more than 450 megawatts of potential gross power capacity that could be delivered to tenants by the end of 2027. A Preferential Rights Agreement gives Host a 24-month window to match sponsor offers on qualifying projects.

He also describes his background, which includes more than a decade in digital infrastructure at ICONIQ Capital, Starwood Capital Group and PGIM Real Estate, and says he helped build a platform at ICONIQ that grew to 82 data centers with more than 2.2 gigawatts of leased capacity.

The letter carries a forward-looking statements notice covering financing completion, development timing, integration success and regulatory requirements, and says the company undertakes no obligation to update such statements except as required by law.

Host Digital's Site I Delivery and Financing Milestones

The letter itself points to the Site I delivery target of the first quarter of 2027, the sponsor's additional sites that could be delivered by the end of 2027, and the completion of financing. Any changes to those timelines would be expected to appear in later filings.
