Pattern Group Inc. (NASDAQ:PTRN), the Utah-based ecommerce accelerator that helps consumer brands sell across global marketplaces, has combined a product launch with a fresh index milestone. In May 2026 it introduced Pattern Intelligence, or Pi, an AI-driven optimisation layer, and in June it announced its inclusion in the Russell 3000 and Russell 2000 indexes in the 2026 reconstitution. The shares listed on Nasdaq in September 2025 at $14, and the traded security is the company's Series A common stock. Together the developments give investors both a technology narrative and an index story to evaluate.
Latest Company Context
Pattern reported record second-quarter 2026 results on August 5. Revenue was about $877 million, up 47% from about $598 million, and Adjusted EBITDA about $54 million, up 54%. Net Income was about $27 million, or $0.15 per diluted share, compared with $0.18 a year earlier. Net revenue retention reached 129%. The company held $346 million of cash and no debt. It raised guidance, now expecting full-year 2026 revenue of $3.42 billion to $3.46 billion and Adjusted EBITDA of $211 million to $213 million, and third-quarter revenue of $840 million to $860 million. CEO Dave Wright said the model is working. Pattern describes itself as an online reseller that works with consumer brands, and says it works with hundreds of global brands. Trailing twelve-month Operating Cash Flow was $136 million, up 76%.
Key Business and Index Drivers
Pi is described as powered by more than 91 trillion data points and backed by 44 patents issued or pending. It is intended to optimise levers such as advertising, pricing and content across more than 70 marketplaces, including Amazon, TikTok Shop, Walmart.com and Mercado Libre. Diversification is visible in the numbers: non-Amazon revenue was about $82 million, up 93%, and international revenue about $110 million, up 87%. On index status, the company said it was on the preliminary Russell additions list announced June 23, with final membership expected after the close on June 26, 2026. Russell inclusion can bring Demand from index-tracking funds, but it does not guarantee any share price outcome. As of June 30, there were about 155.4 million Series A and 21.7 million Series B shares outstanding.
What Investors Should Watch
Investors may watch whether Pi lifts retention and non-Amazon growth, and how much of the 47% growth reflects the shift of large promotional events into June from July, which management said accounts for about four points of third-quarter growth comparisons. Third-quarter results will show whether revenue lands within the $840 million to $860 million guidance range. Diluted Earnings per Share fell year on year even as revenue surged, so margins and share count dilution may merit attention. Dependence on Amazon and other marketplaces, and any changes to their fee or policy structures, remain sensitivities. Trailing twelve-month free cash flow of $106 million provides context for Capital allocation. Growth in international and non-Amazon channels could also test how well the platform works outside its core.
An AI Bet That Still Needs More Quarters to Prove Out
Pattern combines rapid growth, a debt-free Balance Sheet and a new AI product with a Russell 2000 profile that may widen its investor base. Whether Pi translates into durable Margin gains remains to be shown. The product is relatively new, having launched in May, so evidence of its impact on retention and margins may take several more quarters to appear. Investors may also consider the company's two-class share structure when assessing governance.
