Offering Pricing Triggers Sharp Rally

Sable Offshore Corp. (NYSE:SOC) shares surged Wednesday after the company priced its previously announced concurrent public offerings, selling 32,467,533 shares of common stock at $3.08 per share alongside $300 million in aggregate principal amount of 6.5% convertible senior notes due 2031. The offerings are scheduled to settle on July 2.

Sable Offshore is a Houston, Texas-based independent upstream oil and gas company focused on developing the Santa Ynez Unit in federal waters offshore California, operating three offshore platforms along with an onshore processing facility in Goleta, California.

Convertible Notes Carry Premium Conversion Price

The notes carry an initial conversion price of approximately $4.00 per share, representing a roughly 30% premium over the common stock offering price. Sable estimates net proceeds of approximately $92.8 million from the stock offering and $288.8 million from the notes offering, which together with a previously announced new term loan will be used to repay the company's existing senior secured term loan with Exxon Mobil Corporation.

The pricing follows a sharp decline in the prior session, when shares fell nearly 47% after the offerings were first announced amid dilution concerns. Sable currently trades at a market capitalization of approximately $427.38 million following Wednesday's rally.

Conclusion

The successful pricing of Sable's stock and convertible notes offerings provides clarity on the terms of the company's refinancing plan, helping shares recover a substantial portion of the prior session's losses. With the offerings set to close July 2 and proceeds earmarked to retire the Exxon Mobil term loan, investors will be watching for confirmation of the closing and any further details on the company's post-refinancing capital structure.
