Second-quarter earnings, cash flow and production
Second-quarter revenues were $3,013 million, up from $2,318 million a year earlier. GAAP net earnings were $456 million, or $1.62 per diluted share, against $307 million, or $1.18, in the prior-year quarter, and included a $337 million pre-tax loss on the sale of the Anadarko assets, which brought cash proceeds of about $2.82 billion. Non-GAAP adjusted earnings were $491 million, compared with $265 million.
Non-GAAP cash flow reached $1,256 million. Capital investment of $574 million sat at the midpoint of the $550 million to $600 million guidance range, leaving non-GAAP free cash flow of $682 million versus $392 million. Production averaged 615 thousand barrels of oil equivalent per day (MBOE/d), above the high end of guidance, with the Montney at 374 MBOE/d and the Permian at 231 MBOE/d.
Debt reduction, buy-backs and a first-half loss
Net debt, a non-GAAP measure, was $2.995 billion at June 30, down from $5.167 billion at December 31, 2025. Ovintiv redeemed $700 million of 5.65% senior notes due 2028 on April 20. Shareholder returns in the quarter were about $429 million, or about 63% of non-GAAP free cash flow, including about $345 million of buy-backs (roughly 6.1 million shares) and about $84 million of base dividends. Management expects full-year returns above 60% of non-GAAP free cash flow.
The Form 10-Q also shows a weaker six months. The GAAP net loss for the six months ended June 30 was $174 million, or $0.63 per share, and the period included $1.485 billion of impairments, against net earnings of $148 million a year earlier. Common shares outstanding rose to 276.6 million at June 30 from 253.3 million at year-end.
Acreage additions, the renewed bid and 2026 guidance
On August 26 Ovintiv said more than 60 transactions will add about 41,000 net acres, roughly 21,000 in the Permian's Midland basin and 20,000 in the Montney's Alberta oil window, for about $460 million. They add 240 net 10,000-foot equivalent well locations. The remaining deals are expected to close before the end of 2026.
On October 1 the company renewed its normal course issuer bid for October 5, 2026 to October 4, 2027, covering up to 26,973,037 common shares, 10% of its public float as of September 21 under Toronto Stock Exchange rules.
Full-year 2026 guidance, raised on July 23, calls for 630 to 645 MBOE/d of production and $2.25 billion to $2.35 billion of capital investment, which was unchanged. Third-quarter guidance is 615 to 640 MBOE/d and $550 million to $600 million. These are the company's own estimates. A third-quarter results conference call and webcast is set for November 4.
