EquipmentShare (NASDAQ: EQPT) has finalized pricing for a $1,350 million private placement of senior secured notes, expanding the deal by $300 million to meet corporate financing needs.

The 7.125% notes, due in 2034, were sold at 100% of face value to institutional investors, reflecting strong demand for higher-yielding corporate debt in the construction sector.

The proceeds will primarily address outstanding borrowings and be allocated towards general corporate purposes, including operational expenses and potential strategic initiatives.

The notes are secured on a second-priority basis by substantially all assets backing the company’s first-lien obligations, providing lenders with additional collateral protection.

This debt sale follows EquipmentShare’s strategy to optimize its capital structure amid rapid expansion in construction technology.

The company, founded in 2015, operates a proprietary fleet management platform and telematics system, positioning itself as a key player in the digitization of the U.S.

construction industry.

The offering underscores investor confidence in its long-term growth trajectory, despite broader market volatility in the equipment rental sector.

The notes were offered exclusively to qualified institutional buyers under Rule 144A of the Securities Act of 1933 and to non-U.S.

investors under Regulation S.

This private placement structure allows EquipmentShare to bypass the registration requirements of a public offering, accelerating access to capital.

The transaction also highlights the company’s ability to secure financing at competitive rates, even as interest rates remain elevated.

Market analysts note that the 7.125% coupon reflects EquipmentShare’s credit profile and the risk premium associated with second-lien debt.

The construction technology sector has seen increased M&A activity and capital raises as firms seek to scale digital solutions.

EquipmentShare’s ability to upsize the offering suggests strong demand for exposure to the industry’s growth potential.
