BofA Securities issued a notable downgrade for ProKidney Corp. (NASDAQ: PROK) on Monday, shifting its rating from Neutral to Underperform and sharply reducing its price target from USD3.00 to USD1.00 per share. The reassessment follows a combination of revised expectations for ProKidney’s lone therapeutic candidate, REACT, and growing caution regarding the company's development timeline and financial position. 

At the center of BofA’s downgrade is a more conservative projection for REACT’s commercial potential. REACT is being evaluated for the treatment of diabetic chronic kidney disease, but recent feedback from nephrology experts has prompted the bank to cut its estimated peak sales from USD1.8 billion to USD900 million. The revised figure takes into account segmentation factors that reduce the addressable patient population, alongside increasing competitive pressures in the treatment landscape. 

BofA also maintained its assessment of REACT as a high-risk program, assigning a 40% probability of clinical success. Furthermore, the investment bank expressed skepticism over ProKidney’s ability to expedite its Phase 3 trial timeline. The company is not expected to release top-line data until Q3 2027, limiting near-term catalysts for share appreciation. 

From a valuation perspective, the new USD1.00 price target is derived from a discounted cash flow model adjusted for the reduced market opportunity and elevated development risks. Analysts noted that ProKidney's current risk/reward profile appears skewed to the downside, particularly given ongoing financing challenges and a lack of forthcoming value-triggering events. 

The downgrade reflects broader concerns about pipeline concentration, delayed timelines, and capital requirements that may weigh on investor sentiment in the quarters ahead.
