Key Highlights

  • Algorhythm completed an all-stock Acquisition of Azure Energy, a biomass power developer, on September 15, 2026, shifting the company's principal Business toward energy infrastructure.
  • Freight Technologies reported 2025 revenue of about $13.1 million and held just $285,000 in cash at June 30, 2026 against $2.5 million of short-term debt.
  • Freight Technologies completed a 1-for-5 reverse split in May 2026, leaving about 572,000 shares outstanding, while exploring a sale of its brokerage operations.

Freight brokerage runs on thin margins, fragmented data and manual coordination, which makes logistics a natural target for artificial intelligence. Algorhythm Holdings (NASDAQ:RIME) and Freight Technologies (NASDAQ:FRGT), both listed on the Nasdaq Capital Market, have each tried to turn that opportunity into a business, and both have reached a turning point in 2026.

Algorhythm Holdings (NASDAQ:RIME): Growing SemiCab, Then Changing Course

SemiCab describes itself as a cloud-based collaborative transportation platform that uses predictive models to match loads and trucks for shippers and carriers. Its growth has been real. In an August 14, 2026 release, Algorhythm reported second-quarter 2026 revenue of $3.0 million, up 161% from $1.2 million a year earlier and 25% from the first quarter, and first-half revenue of $5.4 million versus $1.3 million. A July 2026 business recap cited annualized revenue of $12 million as of March 2026 and customers including Procter & Gamble India, Unilever India, Apollo Tyres, Coca-Cola India and Onida Electronics.

Losses remain sizable relative to revenue. The net loss attributable to common shareholders was $3.8 million for the quarter and $8.9 million for the half. At June 30, 2026, the company held about $5.0 million in cash plus $3.0 million of restricted cash, with stockholders' Equity of $3.3 million.

Then the strategy shifted. On August 25, 2026, Algorhythm said it had received indications of interest for SemiCab and was evaluating a sale, spin-off or continued operation. On September 15, it completed an all-stock acquisition of Azure Energy, a Charlotte-based developer of biomass power plants aimed at data centers, valued at about $23 million, and announced a CEO transition. Under CEO Andrew Thompson, the company has since retired its Series A preferred stock and terminated a financing that would have required issuing more than 8 million shares.

Freight Technologies (NASDAQ:FRGT): From Brokerage to Software

Freight Technologies, based in Houston, built its business on Fr8App, a platform for cross-border truckload shipping between the U.S. and Mexico. It now emphasizes software: the Fleet Rocket transportation management system, the Zayren Pro AI pricing and carrier-matching tool, and add-ons such as DODA Smart customs verification, Mexican e-invoicing and AI proof-of-delivery validation announced in September 2026. In February 2026, the company said AI agents had made domestic bookings about 15 times faster and cross-border documentation about five times faster, with roughly half the previous operations headcount.

The financial base is small and under strain. Annual figures compiled from the company's filings show 2025 revenue of about $13.1 million, slightly below 2024, and a net loss of about $7.9 million. In April 2026, the company said it was exploring strategic alternatives for its brokerage operations, including a potential sale. A July 2026 update reported further workforce cuts, about $0.4 million in expected restructuring costs and a $1.2 million preferred-stock raise. At June 30, 2026, cash was about $285,000 against $2.5 million of short-term debt.

Share-structure changes have been frequent. A 1-for-5 reverse split took effect on May 18, 2026, leaving about 572,000 shares outstanding, to address Nasdaq's $1.00 minimum bid rule. The company also completed the acquisition of JAK Solar, a holder of residential solar Loan contracts, on December 31, 2025, paying in Preferred Shares valued at $5.5 million, most of which was recorded as goodwill.

What AI Could Change, and What It Has Not Yet

Both companies show how AI can shift logistics economics: fewer people handling more shipments, faster pricing and potentially higher-margin software revenue. What AI has not yet changed is the capital position. Algorhythm is redirecting its focus toward energy infrastructure rather than doubling down on logistics software, and Freight Technologies is funding its transition with very little cash.

  • SemiCab's future: Will it be sold, spun off or retained, and on what terms?
  • Software revenue mix: Can Freight Technologies show software revenue growing as brokerage winds down?
  • Liquidity: How will each company fund operations without heavy dilution?
  • Listing status: Can both maintain Nasdaq compliance given low share prices?

Using the Nasdaq Composite as a Benchmark

The Nasdaq Composite, with its heavy technology weighting, reflects broad investor appetite for software and AI stocks. Comparing each company's returns and Volatility with the index over matching periods can show whether moves are driven by sector sentiment or by company events such as acquisitions, reverse splits and financings, which have dominated both stories in 2026.

The index is used here only as a comparison benchmark; it is not a claim that either company is a constituent. Microcaps like these are far more volatile than the broad market and more exposed to dilution and listing risk.

Risks

For Algorhythm, the central risk is strategic uncertainty. The Azure Energy deal changes the company's principal business, involves new preferred shares whose rights depend on Shareholder approval, and leaves SemiCab's future open. Its share price was around $0.17 in late September 2026, well below Nasdaq's $1.00 threshold.

Freight Technologies faces acute Liquidity risk, with minimal cash, Short-Term Debt and ongoing restructuring. A brokerage sale may not happen or may bring limited value, and repeated reverse splits have sharply reduced its share count.

Financing and Strategy Will Decide Each Company's Next Chapter

Algorhythm Holdings and Freight Technologies both have evidence that AI can improve logistics operations, from SemiCab's customer growth to Fr8Tech's productivity gains. Yet each company's next chapter depends less on algorithms than on financing and strategy: Algorhythm is moving toward energy infrastructure, and Freight Technologies is betting on software with a very thin cash cushion.
