FedEx Freight Holding Company Inc. (NYSE: FDXF) has restructured its executive compensation framework after completing its June 2026 spin‑off from FedEx. The revised package combines short‑term cash incentives, long‑term equity awards, and one‑time bonuses that are linked to the separation.
Cash Incentive Plan
The company introduced an annual cash incentive plan for the transition period that ends on December 31, 2026. Payouts are linked to adjusted consolidated operating income, and executives can receive an above‑target payout, up to the maximum payout of 200% of target, when performance exceeds defined benchmarks. No payout is made if results fall below the established threshold.
Long‑Term Equity Awards
A three‑year equity program runs from June 1, 2026, through December 31, 2028. Performance stock units (PSUs) represent 75% of the target payout opportunity, with half of that portion tied to free cash flow and the other half to earnings per share. The remaining 25% of the award is comprised of restricted stock units (RSUs) that vest in three installments: 33.33% on May 15, 2027, another 33.33% on May 15, 2028, and the final 33.34% on February 15, 2029.
Spin‑Off Bonuses
To recognize the successful completion of the spin‑off, executives received cash bonuses of $100,000. In addition, RSUs with a combined target value of $1,000,000 were granted to senior leaders, while other awardees received RSU grants ranging from $250,000 to $500,000. The RSU awards fully vest on May 15, 2027, with the first 33.33% of each award becoming payable on that date.
Retirement and Vesting Rules
A new policy permits prorated vesting of equity awards for employees who retire after age 55 and have at least ten years of service. PSUs continue to vest according to performance criteria, while RSUs become fully vested upon retirement. Certain senior executives may qualify for accelerated vesting under specified circumstances, such as reaching age 60.
Converted Equity Awards
Previously issued PSUs were transitioned to the new plan. The converted awards retain their original target values of $825,000 and $155,000, respectively, and continue to carry dividend‑equivalent rights while being subject to the same performance metrics as the newly issued PSUs.
Performance Metrics
The compensation committee will review and, when appropriate, adjust the calculations for operating income, earnings per share, and free cash flow at the end of each performance period. This approach is intended to keep executive incentives aligned with the company’s financial objectives throughout the transition and beyond.
SEC Filing Details
The amendment to the compensation arrangements was disclosed in a filing with the U.S. Securities and Exchange Commission dated June 26, 2026. Full agreements and supporting documentation will be incorporated into the company’s September 2026 quarterly report, with an exhibit filed as Exhibit 10.11.
