Sentinel Holdings Ltd (OTC:SNTL) is a small Californian security services group whose latest quarterly filing combines a sale, an acquisition and a formal warning about its financial survival. The headline profit figures are shaped by one-off gains rather than by trading strength.
The Nevada-incorporated company, based in Lancaster, California, provides armed and unarmed security personnel, on-site protection, mobile patrol and event security, mainly in California, through subsidiaries including Centinela Security and Gladiator Solutions. Based on the company's own filings, the picture is one of a thinly capitalized operator. Its annual report states that the common stock is quoted on the OTCQB Market under the symbol SNTL and experiences limited trading volume.
The latest quarter
In its Form 10-Q for the quarter ended June 30, 2026, Sentinel reported revenue of US$2,124,471 for the quarter and US$4,367,037 for the six months. Gross profit for the quarter was just US$35,340, which indicates very thin margins on its guarding contracts.
The net loss to common shareholders was US$1,146,574 for the quarter. For the six months it was US$1,092,819, a much smaller figure because the half-year includes a gain of US$997,180 on the sale of United Security Specialists, plus a gain related to the Opsec acquisition. Those gains are not repeatable income, and they flatter the six-month result considerably compared with the underlying quarter, which lost more than US$1.1 million on about US$2.1 million of sales.
The United Security Specialists sale completed on February 28, 2026 for US$1.00 in cash plus a 4% non-managing interest in Top Flight Security Solutions LLC. The Opsec acquisition, in October 2025, cost US$800,000, with a six-month consulting agreement at US$50,000 per month.
Balance sheet and going concern
The balance sheet is the central concern. At June 30, 2026 cash was US$146,085, down from US$197,165 at the end of 2025. Total assets were US$2,008,774 against total liabilities of US$5,621,948, leaving a stockholders' deficit of US$3,613,174 and a working capital deficit of US$4,501,101.
Liabilities include notes payable of US$216,306, US$75,000 owed to a related party, convertible notes of US$35,000, loans payable of US$341,800 and derivative liabilities of US$316,404. A US$500,000 factoring facility with United Capital Funding Group was in place with no balance drawn.
The filing says the company has not yet attained consistently profitable operations and that there is substantial doubt about its ability to continue as a going concern. The annual report for the year ended December 31, 2025, with an auditor's report dated June 5, 2026, contains a similar warning, citing an accumulated deficit of US$23,956,377. That report showed 2025 revenue of US$5,066,543, up from US$4,605,338 in 2024.
Risks and what to watch
The filing lists liquidity and funding dependence, competition, macroeconomic conditions, pricing pressure on margins and business continuity among its risks. Management plans to expand in existing and new markets, pursue acquisitions and raise debt or equity, which could dilute existing holders. The share count was 9,690,429 on August 13, 2026, alongside 2,000,000 Series A and 75,000 Series B preferred shares. The annual report also says the Gladiator personal protective products business is suspended or limited due to litigation.
The 10-Q also describes Sentinel as a smaller reporting company and non-accelerated filer, which means lighter disclosure requirements than larger issuers face.
Gains Versus Trading Strength
Sentinel's six-month net loss to common shareholders of US$1,092,819 was cushioned by a US$997,180 gain on the sale of United Security Specialists, while the second quarter alone lost US$1,146,574 on US$2,124,471 of revenue. At June 30, 2026 the company had cash of US$146,085, a stockholders' deficit of US$3,613,174 and a working capital deficit of US$4,501,101.
Next steps to follow are the third-quarter filing, any financing or acquisition announcements and whether revenue growth can translate into positive gross profit at scale. Dilution from any debt or equity raise is the other variable to follow.
