Nu-Med Plus (OTC: NUMD) is broadening its operational scope by entering the gold exploration sector through a share exchange agreement with UK-based Avid Gold Ltd. The transaction, finalized on June 29, 2026, enables Nu-Med to incorporate Avid Gold’s mining assets into its portfolio, marking a strategic shift toward resource-based ventures.

Deal Structure Details

Under the terms of the agreement, Nu-Med Plus will obtain full ownership of Avid Gold in consideration for 4,500,000 shares of its Series A preferred stock. Additionally, the company has committed to repaying $100,000 of Avid Gold’s outstanding obligations within 90 days of the transaction’s completion. The closing is scheduled for July 8, 2026, with provisions for extension if both parties agree.

Financial Commitments

In addition to the $100,000 debt repayment, Nu-Med Plus will take on responsibility for promissory notes held by Avid Gold totaling a principal amount of $122,500. These include obligations of $22,500 and $100,000, with repayment tied to the company’s ability to secure at least $1,000,000 in new funding following the closing.

Post-Acquisition Plans

Once the acquisition is finalized, Nu-Med Plus intends to pursue shareholder approval for several corporate actions. The company may also explore relocating its corporate domicile from Utah to Nevada, subject to regulatory and shareholder consent.

Leadership and Governance

The transaction grants Avid Gold’s shareholders representation on Nu-Med’s board, with two new directors appointed as part of the agreement. Emma Priestley, named as the incoming president, will receive 1,000,000 Series X voting preferred shares, which will provide her with voting rights equivalent to a substantial portion of the company’s equity. Existing leadership will continue in their current roles.

Indemnification Terms

The agreement includes mutual indemnification provisions to address potential breaches or misrepresentations. Avid Gold’s shareholders will be responsible for claims related to pre-closing matters, with a $100,000 threshold before indemnification obligations take effect. Nu-Med Plus will extend similar protections to Avid Gold’s shareholders for post-closing issues.

Regulatory and SEC Filings

To proceed with the proposed changes, Nu-Med Plus must file a proxy statement with the SEC to obtain shareholder approval.

Strategic Rationale

The acquisition reflects Nu-Med Plus’s strategy to diversify into high-value mining projects while maintaining its core operations. By integrating Avid Gold’s exploration assets, the company aims to position itself for growth in the resource sector, leveraging the potential of gold mining to enhance its long-term prospects.
