CIM Real Estate Finance Trust (NASDAQ: CMRF) has finalized a comprehensive restructuring, transferring controlling interest to CIM Group Holdings while mapping out a strategy for future liquidity and shareholder distributions. The transaction redefines the company’s ownership framework and governance, positioning it for potential growth in the commercial real estate finance sector.
Ownership Overhaul
The restructuring positions CIM Group Holdings as the majority stakeholder, with a 67.5% economic and voting interest in the newly renamed CIM Group, Inc. Following the transaction, CIM Group Holdings now holds 907,376,073.663 units, which account for approximately 67.5% of the combined entity. Pre-transaction stockholders retain the remaining 32.5% through common shares valued at $0.01 each and 436,884,776.208 Class B LP units.
Exchange Listing Plans
CIM Group has committed to seeking a national securities exchange listing within five years of the June 24 closing date. The company is required to begin the listing process within 24 months and may explore third-party capital investments to improve liquidity. If a listing is not secured by the fifth anniversary, CIM Group Holdings reserves the right to propose a recapitalization or pursue a strategic sale.
Dividend Framework
The company has established a structured dividend approach for the next three years. Initial distributions to common shareholders will meet a specified minimum threshold for the first four quarters, followed by incremental increases in subsequent periods. The second set of four quarters will see higher payouts, with further adjustments planned for the final year.
All distributions remain subject to board approval and applicable regulatory requirements.
Earnout Potential
CIM Group Holdings may expand its ownership stake by up to approximately 3.75% through an earnout mechanism tied to financial performance between 2026 and 2028. The agreement includes safeguards to ensure that any additional units issued under this provision are accompanied by corresponding cash distributions, maintaining alignment with shareholder interests.
Governance and Leadership
The post-restructuring board will include representatives from CIM Group Holdings alongside independent directors. Avraham Shemesh and Shaul Kuba will remain as board members, with CIM Group Holdings designating an additional independent director. The governance terms ensure that independent directors will hold a majority on the board for at least one year following a listing or strategic transaction.
Equity Incentives
The restructuring preserves existing equity awards without triggering change-of-control provisions. Under the 2024 Manager Equity Incentive Plan, the company will issue 2,195,923 shares for the 2025 performance year. Of these, 2,165,489.342 will be allocated as restricted stock units for management, while 30,433.658 will be reserved for the company’s financial leadership.
Investment Opportunities
CIM Group Holdings is required to notify the company of certain investment opportunities before founders or affiliates pursue them independently. The board will have 10 business days to evaluate whether to participate, ensuring strategic alignment with the company’s long-term objectives. This provision helps maintain consistency in corporate decision-making as the company transitions toward a potential public listing.
