Key Highlights
• Realty Income's weighted average Lease term is about 8.6 years across 15,588 properties, while VICI's is 39.6 years across just 103 experiential assets.
• VICI's two largest tenants, Caesars and MGM Resorts, account for 38% and 32% of Revenue respectively, with Caesars now approved for a $17.6 billion Takeover by Fertitta Entertainment.
• Both REITs' Dividend payout ratios are strikingly similar at about 73% of their 2026 AFFO guidance midpoints, despite their very different lease structures.
A lease is the product a real estate Investment trust sells, so its length, rent escalators and tenant quality decide how predictable the income is. Realty Income (NYSE:O) and VICI Properties (NYSE:VICI), both S&P 500 constituents, illustrate two very different answers. Realty Income spreads relatively short leases across 1,798 clients and refreshes rents as they expire; VICI signs leases lasting decades with a handful of casino operators. With Caesars Entertainment, VICI's largest tenant, now approved by its own shareholders for a takeover, the fine print matters more than usual.
Two Ways of Writing a Lease
Both companies are net-lease landlords: the tenant pays property taxes, insurance and maintenance, leaving the REIT with a rent cheque and relatively few operating costs. The difference lies in scale and duration.
In its second-quarter release of August 5, 2026, Realty Income reported 15,588 properties, occupancy of 98.8% and a weighted average remaining lease term of about 8.6 years. VICI, which reported on July 29, 2026, owns 103 experiential assets, 63 gaming properties and 40 other properties, plus four golf courses, is 100% occupied and cites a weighted average lease term of 39.6 years, a figure the company has historically calculated including tenant renewal options.
What the Latest Quarter Showed
In the three months to June 30, 2026, Realty Income's total revenue rose to $1,547.7 million from $1,410.4 million a year earlier. Adjusted funds from operations reached $1.09 per share against $1.05. Management raised 2026 AFFO guidance to $4.44-4.45 per share and lifted its investment target to $10.0 billion.
VICI's Q2 2026 results showed total revenue of $1,059 million against $1,001 million, and AFFO of $0.62 per share against $0.60. Reported Net Income fell to $0.48 per share from $0.82, largely because of a $413.1 million change in its allowance for expected Credit losses, a non-cash accounting charge. Full-year AFFO guidance stands at $2.45-2.47 per share.
Realty Income (NYSE:O): Short Leases, Frequent Resets
A shorter weighted average lease term means more leases expire each year, which is both a risk and an opportunity. In the second quarter Realty Income re-leased 419 units, 385 to existing clients and 34 to new ones, at a rent recapture rate of 102.7%: new annualised rent of $110.3 million replaced $107.4 million. Same-store rental revenue grew 1.2%.
The portfolio is weighted towards retail, at 78.3% of annualised base rent, with industrial at 16.2%, gaming at 3.1% and other assets, including data centres, at 2.4%. Its largest clients are Dollar General at 3.3% of annualised base rent, 7-Eleven at 3.1% and Walgreens at 3.0%. Investment-grade clients account for 34.3% of annualised base rent, and the UK alone contributes 15.0%, with continental Europe adding 5.5%.
Growth therefore depends heavily on buying new properties at attractive yields. Realty Income invested $2.075 billion in the quarter at an initial weighted average cash Yield of 7.3%, and reported net Debt at 5.4 times annualised pro forma adjusted EBITDAre.
VICI (NYSE:VICI): Long Leases, Concentrated Tenants
VICI's leases work differently. Many carry annual escalators set at the greater of 2% or the change in the consumer price index, with caps in some agreements. Its newest deals follow the pattern: the Golden Entertainment master lease pays $87.0 million a year over 30 years with 2% escalation from year three, while the Clairvest lease at MGM Northfield Park in Ohio starts at $54.0 million over 25 years, moving to CPI-linked increases capped at 3% from 2032.
VICI reported total debt of $17.2 billion at June 30, 2026, and net Leverage of 4.9 times annualised adjusted EBITDA, though the two companies define leverage slightly differently.
The trade-off is concentration. Caesars accounts for 38% of revenue and MGM Resorts for 32%. For VICI, the key question is not when leases expire but whether tenants' casino Earnings comfortably cover the rent.
How Lease Design Reaches the Dividend
These structures feed through to earnings in different ways. VICI's built-in escalators give it contractual internal growth each year, so acquisitions add to a rising base rather than replacing lost rent. Realty Income's same-store growth of 1.2% is modest, so its Acquisition programme, and the spread between property yields and its cost of capital, does more of the work.
Payout ratios are strikingly similar. Realty Income's annualised dividend of $3.252 per share equals about 73% of the midpoint of its 2026 AFFO guidance; VICI's quarterly dividend of $0.45, annualised, is also about 73% of its guidance midpoint. The retained cash, alongside new debt and equity, funds further deals, which is why lease quality underpins capital allocation at both.
The Caesars Question
That issue has been live since at least February 2026, when reports emerged that Caesars' regional earnings were barely covering the rent under its regional master lease and that VICI declined to discuss negotiations. On May 28, 2026, Caesars agreed to be acquired by Fertitta Entertainment for $31 per share in cash, in a transaction valued at about $17.6 billion including assumed debt. Caesars stockholders approved the deal on September 23, 2026.
On VICI's July 30 call, management said conversations with Caesars haven't fundamentally changed and that it continues to collect all rent, while indicating it would not rush a resolution during the takeover process. No amendment to the regional lease has been announced.
Risks to the Comparison
For Realty Income, retail exposure and concentrated pharmacy and discount tenants could raise vacancies or cut re-leasing spreads; recapture above 100% is not guaranteed. Its reliance on acquisitions also makes the cost of debt and Equity central to growth.
For VICI, a negotiated rent reduction or restructuring with Caesars would affect a large share of revenue, and the credit-loss charge shows accounting estimates can swing reported earnings. Long leases also lock in rents if Inflation outruns escalator caps.
Lease-Term Signals Ahead
For Realty Income, watch rent recapture, same-store rental revenue, occupancy against the roughly 98.5% guidance assumption and progress towards the $10.0 billion investment target. For VICI, the signals are any announcement on the Caesars regional master lease, the completion of the Fertitta transaction, further movements in the credit-loss allowance and delivery against the raised AFFO guidance.
