America's Car-Mart, Inc. (NASDAQ:CRMT) sold only 2,450 vehicles in the quarter ended July 31, 2026, compared with 13,568 a year earlier, yet its chief executive insists the problem is not customer demand. Doug Campbell said in the company's September 9, 2026 results release: "This is a Capital Structure story, not a Demand story." With lenders granting short extensions and a board committee reviewing alternatives, the claim is central to what happens next.
Business and results
Car-Mart sells older used vehicles, mostly to buyers with limited credit, and finances many of them itself, so it earns both vehicle sales and interest income. In the fiscal year ended April 30, 2026, according to its Annual Report on Form 10-K filed on July 14, 2026, total Revenue was $1,281.5 million, down 7.9%, comprising $1,027.8 million of sales and $253.7 million of interest income. It recorded a net loss of $139.1 million, or $16.79 a share, against Net Income of $17.9 million the year before. That included a $31.1 million tax provision linked to a valuation allowance and an $11.0 million impairment.
The first quarter of fiscal 2027 showed how sharply activity then fell. Revenue was $145.8 million, down 57.3%, and the net loss to common shareholders was $69.0 million, or $8.28 a share, against $5.7 million a year earlier. Gross Margin fell to 21.8% from 36.6%, which the company attributed to lower-margin wholesale sales and fixed costs spread over fewer units. Inventory was $35.2 million, down from $112.5 million, and dealerships numbered 94 against 154. Net charge-offs rose to 9.5% of average receivables from 6.6%, and accounts more than 30 days past due were 4.6%, up from 4.1%.
Lenders, Liquidity and the review
Funding is the pressure point. Total Debt was $623.9 million at July 31, 2026, down from $775.1 million, and unrestricted cash was $27.5 million, compared with $47.0 million at April 30. The company amended its Credit agreement on June 19, 2026 to obtain covenant relief and a defined runway, and said it complied with covenants at the July test date. On September 4, the amendment's termination date was extended to September 11, and a further extension to September 18 was reported.
Both the 10-K and the first-quarter release flag substantial doubt about the company's ability to continue as a going concern. A special committee, with advisers, is evaluating financing and strategic alternatives, including talks with third parties. The company says it cannot guarantee any transaction and warns that shareholders could lose their entire investment. A media report in August said the company was exploring asset sales and could wind down; the company has not confirmed this.
Market signals
Market data show how the shares have been treated. The shares traded at $1.285 on October 9, 2026, giving a market Capitalization of $10.71 million, within a 52-week range of $0.95 to $28.70. The 10-K also flags the risk of failing Nasdaq continued-listing requirements.
The Lender Deadline and the Committee's Verdict
Filings should show whether the lender amendment is extended again, replaced by a longer-term arrangement, or allowed to lapse. They should also reveal the special committee's outcome, whether a sale, refinancing or restructuring, and the next Quarterly Report should show whether retail unit volumes recover as management argues they would with adequate capital, or remain depressed. Any Nasdaq deficiency notice would also matter. The risks are clear from the company's own disclosures: going-concern doubt, rising credit losses, a much smaller operating base and the prospect of heavy losses for Equity holders.
