America's Car-Mart Inc (NASDAQ:CRMT), the Arkansas-based used-car dealer that finances most of its own sales, has become a story about survival rather than growth. Its lenders have extended a temporary waiver through October 15, 2026, and the company's own filings say a strategic review is under way.

The company sells used vehicles and provides the loans to buy them, so its fortunes depend on both car sales and its receivables book. Both have come under severe strain.

What the latest results show

In its first-quarter fiscal 2027 release, issued on September 9, 2026 for the quarter ended July 31, 2026, Car-Mart reported total revenue of $145.8 million, down 57.3% on the prior-year quarter. The net loss attributable to common shareholders was $69.0 million, or $8.28 per share, against a loss of $0.69 per share a year earlier.

Retail unit sales were 2,450, down 81.9%, while gross profit margin fell to 21.8% from 36.6%. The company said it had consolidated 60 locations, leaving 94 dealerships compared with 154 previously.

Credit metrics also weakened. Annualized net charge-offs reached 9.5% of average finance receivables, up from 6.6%, and accounts more than 30 days past due rose to 4.6% from 4.1%. Principal finance receivables stood at $1.19 billion, down 21.4%, with an allowance for credit losses of $277.0 million, or 24.74% of receivables.

Liquidity and the strategic review

Total debt was $623.9 million at July 31, 2026, down 19.5% year on year, while unrestricted cash was $27.5 million, up from $9.7 million. Interest expense in the quarter was $19.2 million.

Chief executive Doug Campbell said in the release: "This is a capital structure story, not a demand story," and added that "resolving our capital structure remains our first priority." The company amended its credit agreement on June 19, 2026 to obtain covenant relief, and said it was compliant with covenants at the July 31 testing date and at the release date.

A special committee, working with advisers and management, is assessing financing and strategic alternatives, including talks with third parties. The company declined to comment further and offered no assurance of any outcome. The earlier fiscal 2026 results, released on July 14, 2026, showed a full-year net loss of $139.1 million and a going-concern warning in the annual report.

Risks investors should weigh

The company's own risk disclosures are blunt. They cite substantial doubt about its ability to continue as a going concern, the possibility of bankruptcy protection with a possible loss of stockholders' investment, and the risk of failing Nasdaq continued-listing requirements. The company gave no financial guidance and did not hold an earnings call for the quarter.

The covenant amendment was due to terminate on September 11, 2026 after an extension announced on September 4, and subsequent short extensions have since been reported. Such rolling waivers suggest lenders are allowing time rather than settling the matter.

The October 15 Waiver Date and What Follows

Car-Mart's first-quarter fiscal 2027 results showed total revenue of $145.8 million, down 57.3%, and a net loss attributable to common shareholders of $69.0 million, or $8.28 per share. Retail unit sales fell 81.9% to 2,450 and the company consolidated 60 locations, leaving 94 dealerships, while total debt was $623.9 million. Chief executive Doug Campbell described the situation as a capital structure story, not a demand story.

The immediate marker is the October 15, 2026 waiver date, which the company is expected to address through a regulatory filing. Beyond that, investors will be looking for any announcement from the special committee, whether a new warehouse facility, recapitalization, asset sale or merger, and for any notice from Nasdaq regarding listing compliance.
