America's Car-Mart Inc. (NASDAQ:CRMT) is operating under short-term lender waivers while a board committee reviews its options. In an 8-K filed October 8, 2026, the used-car dealer and subprime lender said its lenders had extended covenant and liquidity relief through October 15, 2026, the latest in a run of extensions that began in early September.
A Shrinking Dealership Footprint
Car-Mart sells used vehicles to customers with limited credit histories and finances most sales itself, earning income from both the car and the loan. At July 31, 2026 it ran 94 dealerships, down from 154 a year earlier after 60 locations were consolidated during fiscal 2026, and served 85,753 active customers, 18.1% fewer than before.
A Sharp Drop in Volume
First-quarter fiscal 2027 results, for the three months ended July 31, 2026, showed retail units sold falling to 2,450 from 13,568 a year earlier. Total revenue was $145.8 million, down 57.3%, while interest income fell 14.2% to $55.8 million. The net loss attributable to common shareholders was $69.0 million, or $8.28 per share, compared with a loss of $0.69 per share a year earlier; excluding about $13.7 million of one-off items tied to the capital structure review, the adjusted loss was $6.65 per share. Net charge-offs rose to 9.5% of average finance receivables from 6.6%, and accounts more than 30 days past due reached 4.6%, from 4.1%.
A Capital Structure Story
Chief Executive Doug Campbell described the situation as "a capital structure story, not a demand story," attributing the sales collapse to limited capital for buying inventory. Operating cash flow was positive at $80.1 million, largely because the company cut originations and inventory purchases, while unrestricted cash fell to $27.5 million from $47.0 million at the start of the fiscal year.
A Deadline That Keeps Moving
The company's own filings cite possible bankruptcy or insolvency proceedings and a significant or complete loss for common stockholders among its risk factors, alongside substantial doubt about its ability to continue as a going concern. The current waiver, with Silver Point Finance as administrative agent, is due to end October 15, 2026 unless extended again; investors are watching for any announced transaction, a further extension, or a restructuring filing.
