Maison Solutions Inc. (NASDAQ:MSS), the California-based operator of Asian specialty supermarkets, faces a compliance deadline after missing two Securities and Exchange Commission filing deadlines in quick succession. A plan to regain Nasdaq compliance is due by October 19, 2026, according to the company's own releases, though neither notice has had an immediate effect on trading.

Two Nasdaq Notices Over Late Filings

On August 20, 2026, Nasdaq's Listing Qualifications staff told the company it had not filed its annual report on Form 10-K for the fiscal year ended April 30, 2026, citing Listing Rule 5250(c)(1), which requires timely periodic filings. A second notice followed September 23, related to a late Form 10-Q for the quarter ended July 31, 2026. If Nasdaq accepts the compliance plan, it may grant an exception of up to 180 days from the 10-K due date, running to February 9, 2027; if rejected, the company can appeal to a Nasdaq Hearings Panel.

A Turbulent Year of Corporate Actions

The company runs specialty grocery stores in Southern California and Arizona under the HK Good Fortune and Lee Lee International names. It regained compliance with Nasdaq's minimum bid price requirement on May 12, 2026, and with its annual meeting requirement on July 27, and carried out a 1-for-5 reverse split of its Class A shares in July. It has also agreed to divest its San Gabriel and Monrovia store operations and formed Maison AI Limited, an artificial intelligence platform for grocery retail, in late July.

A Going-Concern Warning

The latest quarterly report on file, for the period ended January 31, 2026, showed revenue of $29.54 million, down from $32.32 million a year earlier, and a net loss attributable to shareholders of $5.21 million, against net income of $1.01 million a year earlier. Cash stood at $1.52 million, and management disclosed substantial doubt about the company's ability to continue as a going concern, citing an accumulated deficit of about $13.37 million.

Procedural Risk Alongside Thin Cash

The principal risk is procedural: repeated late filings could prompt further Nasdaq action if the compliance plan is rejected or deadlines are missed, compounded by the going-concern warning and limited cash reported at the start of the year.
