Adeia (NASDAQ:ADEA) shares fell 22.23% in pre-market trading on Tuesday to $16.08, down from a Monday close of $20.67. The decline followed a third quarter report that missed estimates and a cut to full-year revenue guidance.

Adeia is a San Jose, California intellectual property licensing company with a portfolio of more than 14,500 patents covering media and semiconductor innovations. It has about 150 employees and became an independent company in October 2022.

Media Timing Drives the Third Quarter Shortfall

Third quarter revenue came in at $80.2 million, against an estimate of about $98.9 million. Media revenue was about $65 million and semiconductor revenue about $15 million, with Recurring Revenue near $76 million. Adjusted Earnings Per Share were $0.21, below the $0.33 estimate.

The company closed eight license agreements in the quarter, four of them with new customers. Adjusted EBITDA was $36.9 million, a 46% margin, compared with a 59% Margin in the prior quarter.

Full-Year Range Lowered, Dividend Held at $0.05

Full-year revenue guidance was cut to $375 million to $415 million from $395 million to $435 million. Management tied the change to timing risk on a small number of large and legally complex media deals that could slip beyond 2026, and said the deals are a question of when, not if.

Full-year Operating Expense guidance was lowered to $176 million to $180 million, roughly half of it due to court delays. Adjusted EBITDA margin is still guided to about 55%. The company ended the quarter with $127.7 million in cash and a $386.5 million term loan, and declared a $0.05 dividend payable Dec. 14.

Valuation Data After a 22% Pre-Market Reset

At $16.08, the shares sit about 53% below the 52-week high of $34.34 and about 38% above the 52-week low of $11.61. Market Capitalization is about $2.28 billion. The data shows a forward price-to-earnings ratio of 13.51 and a trailing ratio of 20.26, based on the prior close.

Delayed Media Deals and Court Timing Set the Next Checkpoints

Investors will watch whether the delayed media agreements close by year-end and how court schedules affect legal spending. Management expects semiconductor revenue to ramp over several years, with logic products around 2027 to 2028 and memory renewals around 2028 to 2029, toward a $600 million long-term annual target. The report was also the first Earnings Call under the company's new chief executive. The company's filings carry the full risk factors.
