Media reports said Marvell Technology (NASDAQ:MRVL) is in advanced talks to buy optical-components maker Lumentum (NASDAQ:LITE), and investors reacted by selling the would-be buyer hard while the target gave back most of an early jump.
The report
Marvell is in advanced talks to acquire Lumentum, according to media reports, and an agreement could come as soon as next week, according to a brokerage summary of the report. Neither company confirmed the discussions, and no terms were reported.
Talks can fall apart at any stage. Until an announcement is made, the potential deal remains just that: reported talks.
Two very different reactions
Marvell shares tumbled on Thursday, October 29, closing at $218.34, according to market data. It was one of the heaviest decliners in both the S&P 500 and the Nasdaq-100.
Lumentum's reaction was far more muted. The stock jumped in early trading but gave back most of that gain to close only slightly higher, according to market commentary. Another source put Lumentum's Market Value at about $83 billion.
The pattern is common in deal speculation. Buyers often fall on concerns about the price they might pay and the cost of financing. Targets usually rise, but a fade can signal uncertainty about whether a deal will happen or how rich a premium might be.
Why Marvell would want Lumentum
Marvell designs chips for data centers, including custom processors and the networking chips that move data between servers. Lumentum makes optical and photonic components, including lasers and transceivers that turn electrical signals into light for high-speed transmission over fiber.
As AI data centers grow, the connections between chips and between servers have become a bottleneck. Optical technology is increasingly used to move huge volumes of data quickly. Combining Marvell's chip design with Lumentum's optical hardware would give the buyer more of that connection stack, though neither company has commented on any strategy.
Other optical and networking names were active on the report, including Applied Optoelectronics (NASDAQ:AAOI), Ciena (NYSE:CIEN), Coherent (NYSE:COHR) and Corning (NYSE:GLW), according to market commentary.
A rough day for chips
The report landed on a difficult day for semiconductors. The PHLX Semiconductor index fell, ending a four-day winning streak. Alphabet (NASDAQ:GOOGL)'s results revived concerns about mounting AI costs, according to one report, and memory makers including Micron (NASDAQ:MU) cooled. AMD (NASDAQ:AMD) and Nvidia (NASDAQ:NVDA) also slipped.
A rare chip winner was KLA (NASDAQ:KLAC), which rose after reporting record Revenue of $4.14 billion and guiding above projections. That contrast showed investors were rewarding visible results while selling stocks facing new uncertainty.
The Nasdaq Composite fell 365.13 points to 26,184.72, while the small-cap Russell 2000 climbed 28.71 points to 2,859.22.
A busy week for deals
The reported talks fit a lively stretch for mergers. DoorDash (NASDAQ:DASH) agreed to buy Instacart (NASDAQ:CART) for about $17 billion, and Thrive Holdings agreed to take ADT (NYSE:ADT) private for $10 a share in cash. Given Lumentum's reported market value, any combination would be sizable, though no price has been disclosed.
What to watch
The key question is whether an announcement arrives next week, as the report suggested it could. If a deal is announced, investors will scrutinize the price, the mix of cash and stock, and how Marvell plans to finance it. If talks stall, Marvell could recover some of Thursday's loss while Lumentum might give back its remaining gain. Regulatory review would also be a Factor for any large chip deal, and the companies' own statements will be the first reliable source on terms.
