TransAct Technologies (NASDAQ: TACT) has announced that Troy Ingianni will assume the role of Chief Financial Officer, positioning the firm for the next stage of its growth strategy. The appointment is part of a structured succession plan and is set to take effect on July 1, 2026.

Leadership Transition Confirmed

The board disclosed that the existing CFO, Steven DeMartino, will conclude his service on June 30, 2026. Ingianni’s elevation to the finance chief role aligns with the company’s ongoing leadership succession framework.

Ingianni’s Background

Troy Ingianni brings extensive experience in financial management, having served in senior finance capacities at publicly listed corporations. His prior responsibilities encompassed oversight of regulatory reporting, internal controls, and accounting operations. This background equips him to guide TransAct Technologies’ financial function through complex market dynamics.

Compensation Package Details

Under the terms of his employment, Ingianni will receive a base salary of $350,000 per year. A performance‑linked bonus is targeted at 35 percent of that salary. In addition, the company will grant him 15,000 restricted stock units, which will vest evenly over a four‑year horizon.

The agreement, referenced in the Offer Letter filed as Exhibit 10.1, also contains severance provisions consistent with the company’s standard executive contracts.

Principal Accounting Officer Shift

Effective July 1, 2026, Ingianni will also take on the responsibilities of Principal Accounting Officer. The previous holder of that title, Robert Campbell, will transition out of the role on June 30, 2026 while continuing to support the finance team in a non‑executive capacity.

Corporate Governance Notes

The board affirmed that the selection of Ingianni was conducted in accordance with established governance policies and that no familial or prior business relationships influenced the decision. All relevant documentation, including the press release, is filed as Exhibit 99.1 in the company’s public filings.

Forward‑Looking Considerations

TransAct Technologies noted that future performance may be impacted by macro‑economic trends, supply‑chain variability, and geopolitical factors. The company continues to monitor these risks and to disclose them in its periodic reports.

Market and Investor Context

The CFO change coincides with TransAct Technologies’ ongoing expansion of its food‑service technology platform, including the BOHA! Solution suite. Stakeholders will be watching how the new finance leadership supports strategic initiatives and competitive positioning within the sector.
