MakeMyTrip Limited (NASDAQ:MMYT) disclosed on July 17, 2026 that its wholly owned unit, MakeMyTrip (India) Limited, has confidentially pre-filed a draft red herring prospectus with India's securities regulator and stock exchanges. The filing describes a share sale by existing owners, not a fresh capital raise, and discloses no size, price band or valuation: details investors will need to watch for as the process unfolds.
A Confidential Filing Reopens the India-Listing Question
MakeMyTrip Limited, the Mauritius-incorporated parent of MakeMyTrip, Goibibo and redBus, told investors in a Form 6-K filed July 17, 2026 that its wholly owned subsidiary, MakeMyTrip (India) Limited (MMT India, formerly a private limited company), has confidentially pre-filed a draft red herring prospectus with SEBI, BSE and the National Stock Exchange of India for a proposed Main Board listing of MMT India's equity shares.
This is a confidential pre-filing, a route SEBI opened to let issuers submit draft disclosure for regulatory review before making the offer document public. The market has no visibility yet into deal size, timing, price band or an implied valuation for MMT India. The 6-K contains no such figures, and MakeMyTrip has not stated one elsewhere in filings reviewed for this article. Any suggestion the listing could "unlock billions" in value is, at this stage, unsupported speculation, to be treated as such until SEBI processes the filing and a public prospectus with terms emerges.
Inside MakeMyTrip's Travel Marketplace
MakeMyTrip describes itself as India's leading travel service provider, operating an asset-light marketplace linking travelers to airlines, hotels, alternative-accommodation providers and ground-transport operators. Its three brands (MakeMyTrip, Goibibo and redBus) sell air tickets, hotels and packages, bus and rail tickets, car hire, tours and ancillary products such as forex, remittances and visa processing. It also serves the UAE, and redBus operates across parts of Southeast Asia and Latin America. Group CEO Rajesh Magow signed the July 2026 filing.
What MakeMyTrip's (MMYT) Confidential DRHP Actually Discloses
Two points matter most. First, the filing states the IPO "is expected to involve a sale of equity shares in MMT India by MakeMyTrip and its wholly-owned subsidiary, ibibo Group Holdings (Singapore) Pte. Ltd.": an offer for sale of existing shares by the parents, not a fresh issue of new MMT India shares as currently disclosed. Second, "upon completion of the proposed initial public offering, MMT India will continue to be a subsidiary of MakeMyTrip and will be included in MakeMyTrip's consolidated financial statements." This is a partial monetization of an existing stake, not a spin-off; control stays with the parent.
Net proceeds would flow to MakeMyTrip and ibibo Holdings, strengthening cash for "long-term growth, strategic inorganic initiatives and repurchases of different classes of securities." MakeMyTrip also said it "may evaluate alternatives in medium-term" toward a fungible MMT India security listed across India and U.S. markets: conditioned on regulatory approvals, not a near-term commitment.
Fiscal 2026: Gross Bookings Top $10 Billion
MakeMyTrip's unaudited results for the fourth quarter and full fiscal year ended March 31, 2026, released May 19, 2026, show gross bookings of $10,390.8 million for the year, up 6.0% reported (10.4% constant currency) from $9,803.1 million in fiscal 2025. Revenue was $1,043.99 million, up 6.7% reported (10.7% constant currency) from $978.3 million. Adjusted Operating Profit rose 12.8% to $188.8 million from $167.3 million. Reported profit fell 45.8% to $51.7 million from $95.3 million, a decline partly tied to a $30.6 million gain on convertible-note carrying value recognized differently a year earlier.
By segment, Hotels and Packages generated Adjusted Margin of $476.8 million on gross bookings of $2,661.1 million, versus Air Ticketing's $407.1 million Adjusted Margin on larger gross bookings of $5,830.8 million: hotels remain the higher-margin business despite air's larger transaction value. Bus Ticketing added $163.9 million of Adjusted Margin on $1,602.4 million of gross bookings, growing fastest of the three.
Cash, Convertible Notes and a Reshuffled Trip.com Stake
As of March 31, 2026, MakeMyTrip held $782.8 million in cash, equivalents and term deposits (including $11.0 million restricted) against $0.8 million of bank overdrafts. Debt includes $230.0 million of 0.00% convertible notes due 2028. In June 2025, it also priced $1.25 billion of 0.00% notes due 2030, upsized to $1.4375 billion on full exercise of the purchasers' option, alongside a share offering of 18.4 million shares at $90 each generating roughly $1.62 billion net.
Those offerings, closed June 23, 2025, funded MakeMyTrip's repurchase of 34,372,221 Class B shares from Trip.com Group Limited for about $3.04 billion, completed July 2, 2025. Before the deal, Trip.com held 10,773,694 ordinary shares (15.03%) plus 39,667,911 Class B shares (all of them), together about 45.30% of voting power. Afterward, its holding fell to roughly 16.90%, and board nomination rights were cut from five directors to two; three Trip.com-nominated directors, including chairman James Jianzhang Liang, resigned. MakeMyTrip cited "repurchases of different classes of securities" as an intended use of future IPO proceeds.
From Confidential Review to a Possible Public Listing
The near-term milestone is procedural: SEBI's review of the confidentially pre-filed prospectus, which typically precedes a public filing and, eventually, a price band. None of those steps or timing were disclosed. MakeMyTrip keeps expanding regardless, via its February 2025 acquisition of the Happay corporate-travel brand and redBus's expansion into Indonesia, Cambodia and Vietnam.
Execution, Regulatory and Concentration Risks
The most immediate risk is informational: with no disclosed offer size or valuation, investors cannot size the transaction's impact, and confidential pre-filings can be delayed or withdrawn before reaching market. Since the disclosure describes a sale of existing shares rather than a primary raise, proceeds go to MakeMyTrip and ibibo Holdings, not MMT India's balance sheet. Trip.com, though diminished to roughly 16.90% of voting power, remains a shareholder operating competing platforms in Asia. Fiscal 2026 net profit also fell sharply even as operating metrics improved, showing earnings can swing on non-cash items tied to convertible notes.
Outlook
In an upside scenario, SEBI review proceeds smoothly, a public prospectus with terms follows, and the listing strengthens MakeMyTrip's cash position while aiding MMT India's recruiting, per management's stated rationale. In a base case, confidential review simply extends over multiple quarters, with no assurance on timing or terms once disclosed. In a downside scenario, the offering is postponed, resized or shelved, as has happened with other confidentially filed Indian offerings. This article does not forecast a share price.
Conclusion
MakeMyTrip Limited's confidential pre-filing for MMT India's Indian listing is a real, verifiable regulatory step, but as of July 26, 2026 it remains disclosure-light: no size, price band or valuation has been given, and the transaction described is a sale of existing shares by MakeMyTrip and ibibo Holdings, not a fresh capital raise for MMT India. What is verifiable is MakeMyTrip's fiscal 2026 performance: gross bookings above $10 billion, revenue near $1.04 billion, rising Adjusted Operating Profit and a sharply reduced Trip.com stake after last year's $3 billion share repurchase. Investors tracking MMYT should watch SEBI's next procedural step rather than assume any valuation outcome.
