Elevation Acquisition Group Inc. filed an amended S-1 on September 25, 2026 laying out plans for a $100 million blank-check IPO of 10 million units at $10.00 each. The special purpose acquisition company intends to list on Nasdaq under the ticker symbols ELEVU for units, ELEV for Class A shares and ELEVR for rights, and says it will look for targets benefiting from artificial-intelligence adoption or what it calls "HALO" businesses.
What 'HALO' Means And Who Elevation Is Targeting
According to the filing, Elevation defines HALO companies as those with "heavy assets, low obsolescence," firms with substantial physical asset bases whose cash flows are supported by essential demand, regulated frameworks or long-term contracts. The S-1/A says the SPAC will also consider opportunities in the space sector, while explicitly excluding targets based in Asia. The sponsor, Elevation Group Sponsor, LLC, is managed by Ascent Partners Fund LLC.
Deal Structure And Trust Account
Each unit consists of one Class A ordinary share and one right convertible into one-sixth of a Class A share upon completion of a business combination. Underwriters, led by sole book-running manager Maxim Group LLC, hold a 45-day option to purchase up to 1.5 million additional units to cover over-allotments.
The full $100 million in trust proceeds will be held with Continental Stock Transfer & Trust Company. Per the filing, Elevation has 18 months from the IPO's closing to complete an initial business combination, with shareholders able to vote to extend that timeline; the filing does not cap the number of possible extensions. If no deal closes within that window, all public shares must be redeemed at trust value and the company would liquidate.
Management Team
The filing names Anthony J. Sarkis as chief executive officer, citing 35 years of business experience including 23 years in investment banking, and Joseph Yankovich as chief financial officer with more than 20 years in investment management and financial services.
Nominated independent directors include Matthew Kearney, proposed board chairman with more than 30 years in private equity, technology and media; Francis Knuettel II, who the filing says has raised more than $500 million through various equity and Debt offerings; and Christina Favilla, cited for a banking and financial-services Leadership background.
A Typical Pre-IPO SPAC Filing
An S-1/A is an amendment to a registration statement, filed to address SEC comments or update terms before a SPAC's shares can be sold to the public. As is standard for this filing type, Elevation has not yet completed its IPO, has no operating business of its own, and has not identified any acquisition target. The filing does not disclose an expected pricing date, nor does it name specific companies under consideration. Public shareholders in a SPAC structure typically retain Redemption rights if they vote against, or choose not to participate in, an eventual business combination.
Milestones Ahead Of A Business Combination
No IPO pricing date is set in this S-1/A; the offering remains subject to SEC review and market conditions. The 45-day over-allotment option for underwriters, once the IPO prices, could add up to 1.5 million units and $15 million to the raise. The 18-month deadline to complete a business combination, extendable by shareholder vote, will determine how long Elevation has to identify an AI-adoption or HALO target. No specific acquisition target is named; investors should watch for a future 8-K announcing a signed business combination agreement.
