Timing Slides, Deal Size Grows
Anthropic confidentially submitted a draft S-1 on June 1 and originally targeted a September debut, then mid-October. The window has now moved to November, and the draft prospectus indicates a listing after the November midterm elections. Advisers reportedly want to show third-quarter results first, after quarterly revenue more than doubled from USD 4.7 billion in the first quarter to USD 11.5 billion in the second, with adjusted Operating Margin swinging from negative 13 percent to positive single digits. The expected raise of up to USD 100 billion would be the largest IPO on record, above the USD 75 billion base deal, or about USD 86 billion including the greenshoe, that SpaceX (NASDAQ:SPCX) raised at USD 135 per share on June 12. Anthropic has raised about USD 130 billion privately, including a spring Series H of USD 65 billion at a USD 965 billion post-money valuation.
What Is at Stake for Amazon and Alphabet
Market estimates put Amazon (NASDAQ:AMZN) at roughly 15 to 20 percent ownership and Alphabet (NASDAQ:GOOGL) at 10 to 15 percent, which at a USD 2 trillion valuation would imply about USD 300 billion to USD 400 billion and USD 200 billion to USD 300 billion respectively; exact figures await the public filing. The ties run deeper than equity. Amazon has agreed to Supply 5 gigawatts of computing capacity, and Alphabet, with Broadcom, is supplying 5 gigawatts of TPU capacity. Budgets are already enormous: Amazon is spending about USD 220 billion on capex in 2026 against an AWS Backlog of USD 496 billion, while Alphabet spent USD 132 billion over the trailing 12 months. The draft prospectus shows two customers each accounting for 12 percent of revenue.
Prospectus Numbers and a Fragile IPO Window
The draft prospectus details reported September 28 frame the risk side. Revenue in 2025 was USD 4.59 billion, up 1,088 percent, but the operating loss was USD 8.06 billion and the GAAP net loss was USD 41.97 billion, including about a USD 34 billion non-cash charge. Compute obligations total USD 518 billion against USD 20.28 billion of cash. The broader calendar is also wobbling. US IPOs have raised about USD 146.9 billion across 110 deals in 2026 through September 28, according to Renaissance Capital, but Bamboo Insurance postponed its offering, Holtec Nuclear withdrew, and Oura postponed its IPO on September 29 despite heavy demand. Rising rates add pressure, with the 10-year Treasury Yield near 5.21 percent and CME FedWatch showing 72.5 percent odds of an October hike.
Where Things Stand
It could be, but not automatically. A November listing at about USD 2 trillion would crystallize a Market Value for the stakes held by Amazon (NASDAQ:AMZN) and Alphabet (NASDAQ:GOOGL), potentially worth hundreds of billions of dollars on estimated ownership, yet those gains would largely stay unrealized while lockups apply. The delay buys time to show third-quarter progress, but it also exposes the deal to rising yields, a jittery IPO calendar and scrutiny of USD 518 billion in compute obligations. Investors will watch the public prospectus for exact ownership, pricing range and the final raise, which currently stands at up to USD 100 billion.
