MNBS Acquisition Corp. (proposed NASDAQ:MNBS), a newly formed blank check company, filed a registration statement on Form S-1 on September 29, 2026 for an initial public offering of 7,500,000 units at $10.00 each, or $75 million in gross proceeds. Maxim Group LLC is the sole book-running manager.
The company proposes to list its units, Class A ordinary shares, warrants and rights on Nasdaq under the symbols MNBSU, MNBS, MNBSW and MNBSR.
How the Units Are Built
Each unit consists of one Class A ordinary share, one warrant exercisable at $11.50 per share and one right to receive one-seventh of a Class A share upon completion of an initial business combination. The prospectus says $75 million, or $86.25 million if the over-allotment option is exercised in full, would be held in a U.S.-based trust account administered by Continental Stock Transfer & Trust Company. Maxim holds a 45-day option to purchase up to 1,125,000 additional units at the same price.
The company would have 12 months from the closing of the offering to complete a business combination, extendable to 18 months. Public shareholders may redeem their shares for a pro rata portion of the trust account when a deal closes, whether or not they vote, and the prospectus describes a limit on redemptions by holders of more than 15% of the shares sold in the offering without the company's consent. It also describes a requirement to maintain net tangible assets of at least $5,000,001.
Sponsor, Management and Economics
MNBS Acquisition Corp. is a Cayman Islands exempted company incorporated on January 23, 2026. Its sponsor is MNBS Holdings LLC, a Delaware limited liability company whose sole manager is Iris Zhao, the company's Chief Executive Officer and a director. Shihao Liu is Chief Financial Officer and a director nominee. The independent director nominees named in the prospectus are Mingjie Zhao, who would serve as Chairman, Francis A. Braun III, who would chair the audit committee, and Sam Tan.
The sponsor and insiders hold 2,875,000 Class B founder shares purchased for an aggregate of $25,000, representing about 25% of post-offering shares, subject to forfeiture of up to 375,000 shares if the over-allotment option is not fully exercised. The sponsor has also committed to purchase 1,500,000 private placement packages at $1.00 each, each containing one private warrant and one private right. Underwriting compensation includes a $0.05 per unit discount ($375,000 on the base deal) and 300,000 representative shares.
Focus and Risks
The company says it will seek a target globally, including in North America, Europe and Asia, but not one that conducts a majority of its business or is headquartered in China. The prospectus lists several risks. Because founders are located outside the United States and would own about 25% of the post-offering shares, the company may be considered a foreign person under CFIUS regulations, which could limit or delay acquisitions of some U.S. businesses. It also cites immediate dilution from the low founder share price, the possibility of heavy redemptions and potential conflicts of interest for officers and directors.
MNBS's Path From Filing to Pricing
An S-1 is the first public filing in the registration process, and the terms it shows are proposed. The offering can go forward only after the SEC declares the registration statement effective and the underwriters price the units. Later amendments may change the figures. Once units begin trading, the prospectus says the shares, warrants and rights are expected to trade separately after a set period, which it puts at 52 business days after the prospectus date unless Maxim allows earlier separation. After the offering, the company would have the stated 12 to 18 months to announce and complete a business combination, and any agreement would be disclosed in later filings.
