Raising money is one thing; what the money costs is another. Powell Max Limited (NASDAQ:PMAX) disclosed on October 2, 2026 that it had sold $2,421,000 of Class C ordinary shares at $1.00 each across two private placement closings. The same filing described a 10% placement fee, warrants and a separate consulting agreement that look large beside a company whose market value was about $1.14 million at the October 13, 2026 close of $0.579.
Terms Behind the Placement
The Form 6-K says the placement may reach about $4 million. Class C shares convert into Class A shares at a "Floor Price", subject to a 4.99% post-conversion ownership limit for each purchaser. Spartan Capital Securities, LLC acted as placement agent and receives a 10% cash fee at each closing. Net proceeds from the first closing were about $1,191,500, and $648,900 from the second closing was released to the company. Five-year warrants for 242,100 Class A shares, with a $1.50 exercise price, are issuable. A separate 12-month M&A consulting agreement carries a $500,000 cash fee plus $700,000 of Class C shares.
A Strategic Shift Toward Remington
The financing sits beside a strategic shift. On September 28, 2026 the company announced a share exchange giving it 1.5% of Blackrod Holdings, the parent of Remington Firearms, in return for Class A shares equal to 19.99% of its outstanding Class A shares. A larger merger, with an estimated enterprise value of $200 million to $250 million, remains unsigned. The company has also filed a $200 million shelf registration, a pre-approved framework for future offerings, not a completed sale.
Cash Now, Complexity Later
Powell Max's October filing illustrates how small-cap financing can bring both cash and complexity. The placement priced at $1.00 was above the October 13 close of $0.579, yet its conversion terms, fees and warrants could still influence the share count. With the larger Remington merger unsigned, the next filings may clarify whether the funding bridges the gap or adds pressure.
