GAAP net earnings declined to USD 5.5 million, or USD 0.11 per diluted share, from USD 10.2 million, or USD 0.21. The company attributed the drop mainly to restructuring, impairment and transaction-related charges of USD 19.2 million, up from USD 7.3 million, partly offset by lower income tax, selling, general and administrative expense, interest expense and depreciation. Adjusted EBITDA was USD 51 million compared with USD 53 million, which the company linked to the mix of net sales.
Segment Detail and Business Mix
Higher logistics sales were offset by lower large-scale print volumes and lower agency solutions sales. The US Print and Related Services segment generated USD 540.0 million of net sales, down from USD 544.8 million, with operating income of USD 35.1 million. The International segment grew to USD 46.7 million from USD 43.2 million, with operating income of USD 2.0 million. Selling, general and administrative expenses fell to USD 76.9 million from USD 80.9 million.
Chairman and CEO Joel Quadracci said clients are adopting several Quad services at once, and cited retailers that widened their work beyond print into In-Store Connect and Rise media services. The company named its direct marketing agency Direct and signed the first national retailer for In-Store Connect, with screens launching across 30 Florida stores this winter.
Guidance, Cash Flow and Capital Returns
The company improved the midpoint of its adjusted annual net sales change guidance to a decline of 2% from 3%. Adjusted EBITDA guidance was narrowed to USD 185 million to USD 195 million from USD 175 million to USD 215 million, and free cash flow guidance to USD 45 million to USD 55 million from USD 40 million to USD 60 million. Capital expenditures are projected near USD 55 million, and the year-end net debt leverage ratio is targeted at approximately 1.5x. The company noted it historically generates most of its free cash flow in the fourth quarter.
Through nine months, free cash flow was negative USD 100 million versus negative USD 87 million, and operating cash used was USD 62 million. Cash fell to USD 22.8 million from USD 63.3 million at year end. Shareholder returns totaled USD 23 million year to date, split between USD 15 million of dividends and USD 8 million of repurchases. The 1.0 million shares bought in 2026 bring cumulative buybacks to 8.4 million shares since 2022.
Indicators Still in Focus
Four items stand out. The first is free cash flow: with negative USD 100 million through September, the guided range of USD 45 million to USD 55 million for the full year relies on fourth-quarter generation. The second is net debt, at USD 422 million versus USD 308 million at the end of 2025 and the 1.5x leverage target. The third is the quarterly dividend of USD 0.10 per share, payable December 4, 2026 to holders of record on November 17. The fourth is restructuring, impairment and transaction-related charges, which reached USD 37.3 million over nine months compared with USD 23.1 million a year earlier. Management also named 2028 as its goal for returning to net sales growth.
