A Warrant-Heavy Registered Direct Offering Set Off the Slide in INLIF Shares

INLIF (NASDAQ:INLF) shares are trading down 20.79% today at $0.2099. No new announcement from the company today was identified, but the decline follows a registered direct offering revealed on October 19, when the stock fell about 84% from a $2.55 close to roughly $0.41.

The best-efforts deal, completed under an effective F-3 shelf, was priced at $1.60 per share with accompanying warrants, well below the prior close. Today's price is about 92% below the $2.55 level.

Offering Terms Include Series A, B and C Warrants With Reset Features

The offering raised about $3.75 million in gross proceeds and was announced as closed on October 20. It covered 435,000 Class A ordinary shares, pre-funded warrants for up to 1,908,750 shares, and warrants for up to 2,343,750 shares each in Series A and Series B at $1.60.

Series C warrants are exercisable at $0.0001 per share, with the number of shares set by a price-based formula over the first ten trading days. The Series A and B exercise prices also carry a one-time downward reset on the twentieth trading day after closing, features that can add to the share count if the price stays low.

INLIF said proceeds would go toward a Phase II Manufacturing facility, production and research equipment, its Xiamen headquarters and research platform, new products including industrial robots, and talent recruitment over one to two years.

Manipulator Arm Maker Posts First-Half Profit and Gross Margin of 35.95%

INLIF operates through Ewatt Robot Equipment, a China-based Business founded in 2016 that researches, develops, manufactures and sells manipulator arms for injection molding machines. It also provides installation and warranty services, and has added an intelligent equipment line.

For the six months ended June 30, 2026, revenue rose 26.01% to $12.94 million from $10.27 million. Gross Profit climbed 158.77% to $4.65 million, lifting gross margin to 35.95% from 17.50%, and the company swung to net income of $1.01 million from a loss of $1.98 million.

Cash and equivalents rose to $45.47 million from $6.72 million, though data providers report Operating Activities used about $3.27 million of cash in the period. The company has also carried out reverse stock splits during 2026, and the stock has been under Nasdaq bid price scrutiny since an October 2025 deficiency notice.

Warrant Resets and Share Count Growth Are the Items to Follow After the Collapse

The gap between the reported first-half cash balance and the small size of the October raise leaves open questions that the company has not addressed in the filings reviewed. Investors may track the twentieth-trading-day Warrant reset, any change in shares outstanding, and further filings on listing compliance, since the offering's structure could add shares if the price stays near current levels.
