Closing requires approval from stockholders of tZERO and FG Imperii, regulatory approvals, effectiveness of a Form S-4 registration statement and approval of the NYSE American listing.

The next steps are the Form S-4 filing by FG Imperii and the stockholder votes at both companies. The value Neighborhood Intelligence realizes will depend on how its rolled equity in the combined company is valued after listing.
