DoorDash (NASDAQ:DASH) climbed on Thursday after agreeing to buy Instacart parent Maplebear (NASDAQ:CART) in a deal valued at about $17 billion, a bold bet on online grocery delivery that investors in the acquirer welcomed.

A blockbuster deal in delivery

DoorDash rose solidly on October 29, according to market commentary, after the food-delivery company agreed to acquire Maplebear, the parent of grocery-delivery service Instacart, for $65 a share.

The deal values Instacart at about $17 billion and will be paid mostly in cash, according to media reports. Shareholders of Maplebear can choose to receive $65 in cash, 0.3372 DoorDash shares, or a mix of $48.75 in cash plus 0.0843 DoorDash shares for each share they own. The transaction is expected to close in late 2027 or the first half of 2028.

The grocery bet

DoorDash's chief executive Tony Xu framed the deal around the challenges of the grocery business. "Grocery is one of the hardest things to get right online," Xu said, according to one report.

Instacart's chief executive Chris Rogers highlighted what his company brings to the combination. "Instacart has transformed online grocery by helping retailers of all sizes compete and grow," Rogers said, according to another report.

The combination would bring together DoorDash's restaurant-delivery network and Instacart's relationships with grocery chains, creating a larger player in on-demand delivery.

Acquirer up, target down

In an unusual twist, the acquirer's shares rose while the target's fell. Maplebear slipped on Thursday despite the $65 offer, according to market commentary.

Reports differed on how generous the offer was. One source said the price represented a modest premium to Maplebear's prior close, while another measured a larger premium against the stock's October 22 close. The timeline to completion is also long, with a close not expected until late 2027 at the earliest, and the deal must clear the usual approvals before it is finalised.

For DoorDash, the market's positive reaction suggested investors saw strategic value in the acquisition.

Bucking the tech selloff

DoorDash's gain stood out on a difficult day for technology and internet stocks. Alphabet (NASDAQ:GOOGL) suffered its worst day since its 2004 IPO, erasing about $500 billion of Market Value after a Revenue miss and negative free cash flow. Software stocks were also hit hard after weak reports from ServiceNow (NYSE:NOW) and Fortinet (NASDAQ:FTNT). The Nasdaq Composite tumbled 365.13 points to 26,184.72, and the Nasdaq-100 closed at 29,402.51.

The broader S&P 500 slipped 23.59 points to 7,720.39, its first decline in four sessions, although more than 400 members of the index rose. The Russell 2000 gained 28.71 points to 2,859.22.

Consumer discretionary, the sector that includes DoorDash, finished lower overall, dragged by Amazon (NASDAQ:AMZN) ahead of its earnings. Amazon fell further in after-hours trading after its results.

Consumer backdrop

Thursday's economic data showed third-quarter GDP growing faster than expected, with consumer spending holding up. But September PCE Inflation ran hotter than in August, and the Federal Reserve, which held rates steady on Wednesday, may raise rates again in December, according to futures pricing.

What to watch

The deal's path to completion will be a key focus. Investors will watch for any regulatory scrutiny of the combination, given the size of both companies in the delivery market, and for details on how DoorDash plans to integrate Instacart's operations.

Maplebear shareholders' choice between cash and stock will also be watched, as will DoorDash's next Earnings report for updates on its core Business and financing plans. The long timeline means the deal will remain a story for investors well into 2027 and beyond.
