Marvell Technology (NASDAQ:MRVL) shares are trading down 13.09% at $170.70 after the chipmaker agreed to acquire Lumentum (NASDAQ:LITE) in an all-stock deal with an implied Enterprise value of $115 billion. The stock is one of the weakest performers on the S&P 500 and Nasdaq today, with a 52-week range of $70.69 to $329.88.
Marvell designs data infrastructure semiconductors, including custom silicon, optical and electrical interconnect and Ethernet switching products for AI, cloud and carrier customers. Lumentum makes lasers, optical transceivers and optical circuit switches used in AI data centers.
Fixed 4.5 Exchange Ratio Puts Dilution in Focus
Lumentum stockholders will receive 4.500 Marvell shares for each Lumentum share, equal to about $1,132 per share at announcement and a premium of approximately 23.9% to the October 28 unaffected close. Marvell stockholders will own about 67% of the combined company on a fully diluted basis. Because the ratio is fixed, the offer value has shrunk with Marvell's share price since talks surfaced.
Matt Murphy will remain chairman and CEO of the combined company, and three Lumentum directors, including CEO Michael Hurlston, will join Marvell's board of seven.
Synergies and a $550 Billion Market Frame the Strategic Case
The companies said the combination expands their addressable market to $550 billion and offers line of sight to more than $1 billion in annual run-rate cost synergies. The deal is expected to enhance long-term Revenue growth and margins and to be accretive to Marvell's non-GAAP Earnings Per Share in the first year after closing. Management pointed to a shift from copper to optical connectivity in AI infrastructure as the driver.
Marvell also reported preliminary fiscal third-quarter revenue consistent with guidance, maintaining the midpoint and narrowing the range to plus or minus 2% from plus or minus 5%.
Stockholder Votes and a First-Half 2028 Close Set the Timeline
The transaction is expected to close in the first half of 2028, subject to approval by both companies' stockholders and regulatory clearance. Until then, Marvell's share price determines the value Lumentum holders receive, and analyst price targets, which remain above the current price, have yet to be fully updated for the deal.
