The MidCap Financial Transaction
On Oct. 26 the company agreed to acquire MidCap Financial Investment Corporation for a combination of cash and stock. At the Oct. 26 close, the implied value was about USD 2.6 billion, or USD 10.88 per MidCap share, made up of USD 1.21 in cash and USD 9.67 in implied stock value across 82,372,628 shares. The cash portion is paid by Ares Capital Management, the company's adviser.
The exchange ratio is set shortly before closing using net asset value per share and the closing price, so the number of shares issued is not yet known. Completion requires approval from a majority of MidCap's stockholders and Nasdaq listing approval for the new shares. The company's filing describes closing timing as the first half of 2027 and notes that existing holders face dilution of their percentage ownership.

Two derivative actions filed in the Southern District of New York, on May 26 and Aug. 14, allege excessive advisory fees under Section 36(b) of the Investment Company Act. The adviser disputes the claims, and the filing says the cases are at an early stage.
