Falcon’s Beyond Global, Inc. (Nasdaq: FBYD), a leader in immersive storytelling and themed entertainment, today announced it has completed the acquisition of Oceaneering Entertainment Systems (OES), a division of Oceaneering International Inc. (NYSE: OII). The transaction marks a pivotal milestone in Falcon’s strategic growth plan, positioning the company as a premier global provider of cutting-edge ride systems and immersive experiences.

As part of the acquisition, Falcon’s Beyond has acquired OES’s global portfolio of patented technologies, proprietary engineering and manufacturing processes, and has assumed the lease for OES’s expansive 106,000+ square-foot facility. This site will serve as a major hub for research, development, integration, and testing operations. In addition, Falcon’s has brought on board key members of OES’s expert team, ensuring continuity and expanding its technical capabilities.

The deal, stemming from a previously announced letter of intent on November 19, 2024, was completed by Falcon’s Beyond itself rather than Infinite Acquisitions Partners LLC. Falcon’s also holds an option to acquire certain OES inventory, exercisable before July 23, 2025.

“This acquisition is a game-changer,” said Cecil D. Magpuri, CEO and Co-Founder of Falcon’s Beyond. “By combining Falcon’s creative innovation with OES’s deep technical and engineering expertise, we’re setting a new standard in experiential entertainment. This union allows us to accelerate the development of next-generation attractions and better serve our global destinations and partners.”

The acquisition significantly bolsters the capabilities of Falcon’s Attractions, its division focused on delivering vertically integrated ride systems and immersive technologies. It broadens Falcon’s service offerings, diversifies its customer base, enhances operational scalability, and opens up new revenue opportunities. The move is expected to support long-term earnings growth and add meaningful shareholder value.

Falcon’s has also committed to supporting all legacy OES products, ensuring clients continue to receive expert OEM-level service and support from the same personnel and systems previously under OES.

“Falcon’s has inherited an extraordinary team of entertainment systems professionals,” added Dave Mauck, President of Falcon’s Attractions and former General Manager of OES. “I’ve worked alongside many of these team members for years, and the depth of talent we now have under one roof is unmatched in the industry.”
